New Preferred Stock Documents means (i) the Class C PIK Preferred Stock and Warrant Subscription Agreement dated on or about the Effective Date by and between Seminis Merger Corp. and The Northwestern Mutual Life Insurance Company (the "NML Preferred Subscription Agreement"), (ii) the Certificate of Designation attached as Exhibit A to the NML Preferred Subscription Agreement, (iii) the Warrant Agreement in the form attached as Exhibit B to the NML Preferred Subscription Agreement, (iv) the Class C PIK Preferred Stock and Warrant Subscription Agreement dated on or about the Effective Date by and among Seminis Merger Corp., Stichting Pensioenfonds ABP and Stichting Pensioenfonds Voor De Gezondheid, Geestelijke En Maatschappelijke Belangen (the "NIBC Preferred Sub- scription Agreement") and (v) the Warrant Agreement or Warrant Agreements in the form attached as Exhibit B to the NIBC Preferred Subscription Agreement.
New Preferred Stock Documents means the New Preferred Stock and the related Certificate of Designations.
New Preferred Stock Documents means U.S. Borrower's Certificate of Designation of the Powers, Preferences and Relative, Participating, Optional and Other Special Rights of 2003 Convertible Preferred Stock and Qualifications, Limitations and Restrictions Thereof as filed with the Secretary of State of the State of Delaware on July 31, 2003.
