New Versions means updates to the Content Hub Software, in object code only, that Synchronoss makes generally available (i.e. not custom-developed for another Synchronoss customer) as part of maintenance support to its licensees who are entitled to maintenance support, including bug fixes, error corrections, patches and updates and enhancements. All latest release versions of software / technology must be made available to Verizon no more than **** from initial release. For the avoidance of doubt, for New Versions that include substantial new functionality that is materially incremental to that functionality identified in Exhibit E (“Major Feature Enhancements”), the Parties shall discuss in good faith to determine whether a fee for the license of such Major Feature Enhancements may be separately charged and mutually agree to such a fee. For example, the Parties may, but shall not be required to, use the following as guidelines in determining whether a New Version is a Major Feature Enhancement: A. Factors favoring chargeability: a) more than seven months have elapsed from the commercial launch of the Content Hub; b) Verizon itself charges (or expects to charge) its Subscribers additional or separate fees attributable to such new functionality; or c) otherwise obtains material financial benefit from such enhancement (such as material reduction of Verizon Data Service support costs, material reduction in Subscriber attrition or added material sales of related Verizon products or services); or d) The Major Feature Enhancement requires material new data processing infrastructure, or requires new costs (such as third party licensing costs or material code maintenance support) in performing substantially different functions as those supporting a prior version (i.e. “new” architecture, not merely “more” architecture to support added volumes); or e) The Major Feature Enhancement allows Verizon to target a Data Service at a different Subscriber class or segment (i.e. business customers) where the characteristics of such new Subscriber class or segment drive incremental requirements, safeguards, compliance steps, etc.

New Versions means versions of the Licensed Program which contain minor improvements and modifications, or corrections from time to time issued by the Company;

• Any customization of the Payment Solutions and/or addition of new Integrations requested by Customer and/or New Versions and New Releases of the Payment Solutions may be subject to additional Charges.

• Outpayce has the right to add Patches, create New Versions or New Releases, amend, modify, remove, discontinue, replace, substitute, upgrade or enhance the functions and components of, and the data provided through, all or any element of the Payment Solutions and their service descriptions, including the availability of any particular Third-Party Provider, at any time.

• Unless stated otherwise in this Agreement, Customer agrees and acknowledges that, except for Customer Background Intellectual Property, Outpayce (or Outpayce Affiliates, Outpayce Subcontractors, Third-Party Providers, or licensors as the case may be) owns all Outpayce Background Intellectual Property and/or Intellectual Property in the Payments Solutions, New Versions and New Releases, as the case may be.

• If Customer becomes the owner of Outpayce Intellectual Property in the Payment Solutions, New Versions and New Releases by operation of law, Customer hereby assigns to Outpayce all of such Intellectual Property (with full title guarantee, by way of present assignment of present and future rights, and free from any encumbrance).

• Tourplan NX or Software Tourplan NX tourism software system including the database schema and SQL objects together with any updates including New Versions, Updates, and Patches.

More Definitions of New Versions

New Versions means new versions of the Software that may be deployed by Ceridian to Client for license pursuant to these Service Particulars;

New Versions means any new version of the Software which from time to time is publicly marketed and offered for purchase by VQ in the course of its normal business, being a version which contains such significant differences from the previous versions as to be generally accepted in the marketplace as constituting a new product.

New Versions means a new version of the ConnectWise Offering containing new features or functions as well as error corrections, but does not include new products available from ConnectWise for an additional fee.

New Versions means any versions of the Licensed Software that Licensor releases after the Effective Date of this Agreement including (a) error corrections, maintenance releases, and major and minor releases and products that supersede the Licensed Software; (b) any migration aids for users migrating from the prior version of the Licensed Software; and (c) any Documentation related to either (a) or (b). A product shall be considered to supersede the Licensed Software if (i) Licensor ceases actively marketing the Licensed Software, (ii) persons inquiring about licensing the Licensed Software are offered the new product instead, and (iii) the new product handles creation and/or delivery of Rich Media Messages.

New Versions means the release by Trend Micro of a new version of an existing Product that contain (in Trend Micro’s determination) significant new features, improvements, capabilities, structures, and/or functionality that Trend Micro makes available to existing customers of such Products as an upgrade or conversion for new consideration, it being understood that each New Version acquired by Company replaces the prior version that must be uninstalled. Such New Versions are generally identified by Trend Micro by a change to the version number to the left of the decimal point (e.g., version 3.x to be replaced by version 4.x).
