Next Round definition

Next Round means the Company’s next sale of its convertible preferred stock (other than Series B Preferred Stock) to purchasers which include venture capital investors.
Next Round means the next Equity Round in which the Company issues and sells shares of its preferred stock and any options, warrants, rights or other securities that are exercisable, convertible or exchangeable into, or otherwise provide the right to purchase or acquire shares of such preferred stock.
Next Round means (i) the next bona fide round of equity financing in which You issue and sell shares of your preferred stock for aggregate gross cash proceeds of at least $5,000,000 (excluding any amounts received upon conversion or cancellation of indebtedness), (ii) Your initial public offering or (iii) the consummation of a Merger Event in which You are not the surviving entity, whichever is to occur first, subsequent to the Effective Date.

  • The Company covenants that all Next Round Securities which shall be so issuable or deliverable shall, when issued or delivered, be duly and validly issued and fully paid and non-assessable.

  • The Shares for which this Warrant is exercisable upon such election, if at all, shall bear the same rights, preferences, and privileges of such Next Round Stock.

  • Company shall provide Holder no less than fifteen (15) Business Days’ written notice prior to the consummation of any Next Round (the “Next Round Notice”).

Next Round means the first equity financing, or extension of an existing round of equity financing, occurring after the Closing Date, in which You issue preferred stock for aggregate gross cash proceeds of at least Five Million Dollars ($5,000,000) (with aggregate proceeds to include the amounts that the investors in such financing have committed to invest, in accordance with the terms of the financing documents after the initial closing under such documents and to exclude any amounts receivable upon, or attributable to, conversion or cancellation of indebtedness), whether in a single or multiple closings.
Next Round means the Company’s next sale, after the Issue Date, of its convertible preferred stock.
