No Implied Licenses. The EMPLOYER and ALL Authorized Users acknowledge that all rights not granted in this AGREEMENT are expressly reserved. Except as expressly stated herein, nothing in this AGREEMENT shall confer to EMPLOYER any license or right of ownership in the IP Materials owned by the SERVICE PROVIDER or its suppliers, whether by implication, estoppel, or otherwise. All said license or rights are agreed by the parties hereto to be exclusively owned and retained by SERVICE PROVIDER. Upon execution of this AGREEMENT, SERVICE PROVIDER will grant to EMPLOYER non-exclusive, non-transferable permission to offer the IP Materials as an Employee Benefit in accordance with the Terms & Conditions of this AGREEMENT for a period specified in Paragraph 7 (“Term”).
