No Solicitation definition

No Solicitation. You agree not to solicit any clients of CulturalAccessWorldwide to provide them with work or services that is competitive to CulturalAccessWorldwide for a period of two years after termination for any reason. You also agree not to solicit, recruit or hire any employees or strategically important and unique vendors or consultants (e.g., pharmaceutical marketing partners, but not audit firms or banks) of the Company for a period of two years after termination for any reason.
No Solicitation provisions set forth in Section 6.2(e) of the Purchase Agreement and the Mutual Nondisclosure and Non-Solicitation Agreement, dated April 22, 1997, shall have no force or effect with respect to negotiations with Arrow Electronics, Inc. Notwithstanding any provision in the Amended Purchase Agreement or the Mutual Nondisclosure and Non-Solicitation Agreement, or any other agreement or understanding between the parties, whether verbal or written, the parties expressly agree that during the term of the Amended Purchase Agreement and thereafter, the Stockholders and the Company shall be entitled to negotiate with Arrow Electronics, Inc. or any affiliate or subsidiary thereof ("Gates Arrow"). None of the Stockholders, the Company or Gates Arrow shall have any liability or obligation to WMT arising therefrom.

  • Bid Solicitation means a formal request for Bids including an Informal Quotation, Request for Quotation, Request for Pre-Qualification, Request for Tender, Request for Proposal, Negotiated Request for Proposal, or Request for Expression of Interest;

  • Non-Solicitation Period means a period of 12 months after the termination of Executive’s employment with the Company.

  • Competitive solicitation means a formal, advertised procurement process, other than an Invitation to Bid, Request for Proposals, or Invitation to Negotiate, approved by the Board to purchase commodities and/or services which affords vendors fair treatment in the competition for award of a District purchase contract.

  • Solicitations means ITBs and RFPs.

  • Solicitation means the document issued by the System Agency (including any published addenda, exhibits, and Attachments) under which the goods or Services provided under the Contract were initially requested, which is incorporated by reference for all purposes in its entirety.

  • Consent Solicitation has the meaning set forth in Section 6.15(b).

  • Bid Solicitation Agent means the Company or the Person appointed by the Company to solicit bids for the Trading Price of the Notes in accordance with Section 14.01(b)(i). The Company shall initially act as the Bid Solicitation Agent.

  • Solicitation Agent means Prime Clerk LLC, the notice, claims, and solicitation agent retained by the Debtors in the Chapter 11 Cases.

  • Solicitation” or "Request for Applications (RFA means the document (including all amendments and attachments) issued by the System Agency under which applications for Program funds were requested, which is incorporated by reference for all purposes in its entirety.

  • Public Disclosure Documents means, collectively, all of the documents which have been filed by or on behalf of the Borrower with the relevant Securities Regulators pursuant to the requirements of Securities Laws, including all documents publicly available on the Borrower’s SEDAR profile.
