GSK or the Nominated Supplier shall use such Toll Materials, WIP and New Clinical Products solely for the purposes of this Agreement.
Such works shall be valued as described for variations in Xxxxxx XX of the conditions of contracts, but should any part of the works be executed by a Nominated Sub- Contractor, or any articles for the work be supplied by a Nominated Sub-Contractor, or any articles for the work be supplied by a Nominated Supplier, the value of such work or articles shall be treated as P.C Sums and profit and attendance comparable to that contained in the Bills for Quantities for similar items added.
To the extent that amounts are so withheld and paid to the proper taxing authority, such amounts shall be treated for all purposes of this Agreement as having been paid to GSK (or the applicable Nominated Supplier) with respect to whom such amounts were withheld.
In the event that monies are deducted or withheld, the Purchaser shall promptly pay the amount withheld to the appropriate Governmental Entity and shall provide GSK (or the Nominated Supplier) with the original receipt issued by that Governmental Entity or other sufficient evidence of payment.
The Parties agree that the Contracts (Right of Third Parties) Act 1999 ("CRiTPA") shall apply to this Schedule to the extent necessary that any Nominated Supplier shall have the right to enforce the obligations owed to, and indemnities given to, the Nominated Supplier by the Supplier or the Authority under this Schedule in its own right pursuant to clause 1(1) of CRiTPA.
