Non-Cash Restructuring Charges definition
Non-Cash Restructuring Charges is defined in the definition of “EBITDA”.
Non-Cash Restructuring Charges means those expenses and charges against earnings incurred in connection with the Borrower's comprehensive corporate downsizing and reorganization program and which do not result in any cash payment by the Borrower or any Subsidiary, all as determined on a consolidated basis in accordance with GAAP applied on a Consistent Basis.
Non-Cash Restructuring Charges has the meaning provided in clause (12) of the definition of Consolidated Net Income.
More Definitions of Non-Cash Restructuring Charges
Non-Cash Restructuring Charges means, for any period, any non-cash restructuring charges, other than charges relating to accounts receivable or inventory write-downs, taken by the Borrower and its Subsidiaries during such period on a consolidated basis in accordance with GAAP; provided that, for purposes of calculating the Cash Interest Coverage Ratio in respect of any fiscal quarter ending on or prior to February 28, 2002, the sum of Non-Cash Restructuring Charges and Cash Restructuring Charges for such quarter shall not exceed the amount set forth on Schedule 7.13 relating to any such fiscal quarter."
Non-Cash Restructuring Charges means charges in connection with facilities abandonments, impairment of goodwill and/or intangible assets, write-offs of technology assets, and/or establishment or reversal of any deferred tax valuation allowances.
Non-Cash Restructuring Charges shall be amended by deleting the proviso at the end thereof.
