Seller, Buyer, and their respective Affiliates shall make available to each other (at no cost to the requesting party) for inspection and copying during normal business hours upon reasonable notice all Tax records in their possession relating to the Subsidiary, the Non-Entity Business or the Purchased Assets to the extent reasonably required by the other party in connection with the preparation of Tax Returns, audits, litigation, or the resolution of items under this Article 8.
Seller has paid or caused to be paid, or will pay or cause to be paid, on a timely basis all material Taxes imposed on the Non-Entity Business or the Purchased Assets that have become due or payable on or before the Closing Date, except Taxes being contested in good faith or Taxes being assumed by Buyer under this Agreement.
