Non-Privileged Records. Means documents and records, whether hard copy or electronic, which are not subject to any legal privilege preventing its discovery and/or disclosure in a legal proceeding.

The Ceding Company shall allow the Reinsurer to inspect, examine, audit, copy, review, and verify, through duly authorized representatives, at all reasonable times at the office of the Ceding Company, all Non-Privileged Records of the Ceding Company with respect to the business reinsured under this Agreement, or with respect to Claims, losses, or legal proceedings which involve or have a bearing upon the Reinsurer pursuant to this Agreement.
