Non-trivial definition
Non-trivial mean trivial and non-trivial, respectively, from the perspective of a reasonable lender in PFG’s position, as determined by PFG in its good faith business discretion, and “Non-trivial” includes a lesser level of significance that does the term “material.”
Non-trivial means, from the perspective of a reasonable Person in Buyer’s position, as determined by Buyer in its good faith business discretion and implies a lesser level of significance that does the term “material”; provided, however, that anything less than $500,000.00 in the aggregate shall not be deemed to be Non-Trivial.
