Nonmaterial Consents definition

Nonmaterial Consents as defined in Section 2.9.
Nonmaterial Consents as defined in Section 2.10(b). "Occupational Safety and Health Law"-- any Legal Requirement designed to provide safe and healthful working conditions and to reduce occupational safety and health hazards, including the Occupational Safety and Health Act, and any program, whether governmental or private (such as those promulgated or sponsored by industry associations and insurance companies), designed to provide safe and healthful working conditions.
Nonmaterial Consents has the meaning set forth in Section 2.8.

Examples of Nonmaterial Consents in a sentence

  • Each of the Material Consents and Nonmaterial Consents shall have been obtained in a form satisfactory to Buyer and shall be in full force and effect.

  • Through and up to the Closing Date, Seller shall continuously update Parts 2.10(a) and 2.10(b) for all Material Consents and Nonmaterial Consents, respectively.

  • Pending the obtaining of such Nonmaterial Consents, the parties shall cooperate with each other in any reasonable and lawful arrangements designed to provide to Buyer the benefits of use of the specific underlying Assumed Contract for its term (or any right or benefit arising thereunder, including the enforcement for the benefit of Buyer of any and all rights of Seller against a third party thereunder).

  • Except for any Material Consent to be procured by Buyer and Seller under the HSR Act, jointly, Seller shall procure all Material Consents and Nonmaterial Consents, prior to the Closing Date.

  • Buyer also shall cooperate, and cause its Related Persons to cooperate, with Seller (a) with respect to all filings required of Seller under Sections 5.4 and 5.12 and (b) in obtaining all Material Consents and Nonmaterial Consents to be procured by Seller under Sections 5.4 and 5.12.

  • As promptly as practicable after Closing, each Party shall reasonably cooperate with the other Party in obtaining all Nonmaterial Consents.

  • Except for any Material Consent to be procured by Buyer and Seller under the HSR Act, jointly, Seller shall (and Seller shall cause Unique Fabrications to) procure all Material Consents and Nonmaterial Consents, prior to the Closing Date.

  • Buyer also shall cooperate, and cause its Related Persons to cooperate, with Seller and Unique Fabrications (a) with respect to all filings required of Seller under Sections 5.4 and 5.12 and (b) in obtaining all Material Consents and Nonmaterial Consents to be procured by Seller and Unique Fabrications under Sections 5.4 and 5.12.

  • Material Consents and Nonmaterial Consents Seller shall (in cooperation with Buyer) make, or cause to be made, all filings and procure any Consent required under the HSR Act to consummate the Contemplated Transactions.
