Note File definition

Note File or “Notes”, for purposes of this Agreement, means the original notes and any other instruments evidencing the indebtedness secured by the security instruments, along with the original riders, powers of attorney, and/or other instruments that modify the original notes (e.g., modification, conversion, assumption of indebtedness or release of liability agreements); references to “Notes” may include Assignments and any supplemental or additional documents required to be maintained by the Designated Custodian in the Note File, as the context requires or permits.
Note File means, with respect to each Mortgage, any document that is typically maintained in a document custodian’s note file and as appropriate to its Mortgage loan type. As the context requires, “Note File” may refer to any document, such as a Note, that is associated with a Note File. “Service Level(s)” is defined in Section 3(i).
Note File means and shall include: (a) the Note bearing all intervening endorsements, or a Lost Note Affidavit (as defined in the Custodial Agreement) with applicable changes reasonably acceptable to Alliance, endorsed in blank, (b) a conformed copy of the Note Mortgage bearing the original recording information, (c) an original “Assignment of Mortgagein favor of Alliance for each Note Mortgage, in form and substance acceptable for recording and signed in the name of Borrower by an authorized Person on behalf of Borrower, (d) the originals or copies of recorded intervening assignments of mortgage, if any, with evidence of recording thereon, showing an unbroken chain of title from the originator thereof to Borrower (or in the case of a MERS Designated Mortgage Loan, MERS), (e) the original attorney’s opinion of title and abstract of title or the original or copy of mortgagee title insurance policy, or if the mortgagee title insurance policy has not been issued, a copy of the irrevocable commitment to issue the same, related to the Note Mortgage, and (f) if any of the above documents has been executed by a person holding a power of attorney for Borrower, as notified to the Custodian in writing, an original of such power of attorney.

More Definitions of Note File

Note File means, with respect to each Mortgage, any document that Designated Custodian is required to maintain pursuant to the Guide, Handbook, and this Tri-Party Agreement.

Note File means, in respect of any Note against which Lender has made an Advance and shall include: (a) the Note bearing all intervening endorsements and/or allonges, or a Lost Note Affidavit (as defined in the Custodial Agreement) with applicable changes reasonably acceptable to Lender, endorsed in blank, (b) a conformed copy of the Note Mortgage bearing the original recording information, (c) an original "Assignment of Mortgage" endorsed in blank for each Note Mortgage, in form and substance acceptable for recording and signed in the name of Borrower by an authorized Person on behalf of Borrower (or in the case of a MERS Designated Mortgage Loan, evidence that such Mortgage Loan has been registered on the MERS System in a manner reasonably acceptable to Lender and reflecting Lender as the "Warehouse/Gestation Lender"), (d) the originals or copies of recorded intervening assignments of mortgage, if any, with evidence of recording thereon, showing an unbroken chain of title from the originator thereof to Borrower (or in the case of a MERS Designated Mortgage Loan, MERS), (e) an attorney's opinion of title and abstract of title or copy of mortgagee or loan title insurance policy, or if the mortgagee or loan title insurance policy has not been issued, a copy of the irrevocable commitment to issue the same, related to the Note Mortgage, (f) if any of the above documents has been executed by a person holding a power of attorney for Borrower, as notified to the Custodian in writing, an original of such power of attorney, and (g) any other documents, instruments and writings related to the Note that are required to be in the Mortgage File (as defined in the Custodial Agreement) pursuant to the Custodial Agreement.

Related to Note File

  • Case file means a record that is assembled and maintained for each application approved for state cost sharing.

  • Custodial File As to each Mortgage Loan, any mortgage loan documents which are delivered to the Custodian or which at any time come into the possession of the Custodian as set forth in Section 2 of this Custodial Agreement.

  • Mortgage File The mortgage documents listed in Section 2.01 pertaining to a particular Mortgage Loan and any additional documents required to be added to the Mortgage File pursuant to this Agreement.

  • Receivable File means the documents (whether tangible or electronic) specified in Section 2.02 pertaining to a particular Receivable.

  • Lease File means, for each Lease, the Collateral Lease File applicable to such Lease.

  • Asset File means the materials with respect to the Assets (i) previously delivered to Buyer or its representatives by or on behalf of Seller, whether written or orally, (ii) made available to Buyer or its representatives at the Hotel or at the offices of Broker, in each case, whether written or orally, or (iii) made available to Buyer or its representatives in the data room web site created by Broker.

  • Servicing File With respect to each Mortgage Loan, the file retained by the Company consisting of originals of all documents in the Mortgage File which are not delivered to the Custodian and copies of the Mortgage Loan Documents listed in the Custodial Agreement the originals of which are delivered to the Custodian pursuant to Section 2.03.

  • Contract File means with respect to each Contract, the physical and/or electronic files in which Credit Acceptance maintains the fully executed original counterpart or “authoritative copy” (in each case, for UCC purposes) of the Contract (to the extent required in accordance with Section 3.03 of this Agreement), either a standard assurance in the form commonly used in the industry relating to the provision of a certificate of title or other evidence of lien, the original or electronic instruments modifying the terms and conditions of such Contract and the original or electronic endorsements or assignments of such Contract.

  • Loan File With respect to each Loan, a file containing (a) each of the documents and items as set forth on the Loan Checklist with respect to such Loan and (b) duly executed originals and copies of any other relevant records relating to such Loans and the Underlying Assets pertaining thereto.

  • Credit File means all Credit Documents and all other credit, collateral, or insurance documents in the possession or custody of the Assuming Institution, or any of its Subsidiaries or Affiliates, relating to an Asset or a Loan included in a Put Notice, or copies of any thereof.

  • Collateral File With respect to each Mortgage Loan, a file containing each of the Collateral Documents.

  • Receivable Files means the documents specified in Section 3.3.

  • Mortgage Loan File As defined in Section 2.1(b) and any additional documents required to be added to the Mortgage Loan File pursuant to this Agreement.

  • Data File means a single record or collection of data records that are logically related to each other, and are handled as a unit;

  • Retained Mortgage File With respect to each Mortgage Loan, the file consisting of the Mortgage Loan Documents listed as items 6 through 12 of Exhibit C attached hereto. Securities Act: The Securities Act of 1933, as amended.
