  • The Managing Member may not admit additional Members without obtaining the Approval of NS Member and, further, upon the condition that the additional Member shall agree to be bound by the terms and conditions of this Agreement and assume all obligations associated therewith.

  • The presence in person of a majority of the Committee Representatives (at least one of whom shall be a Committee Representative appointed by the NS Member if a Major Decision is to be made) shall constitute a quorum for the transaction of business at a meeting of the Management Committee duly called in accordance with Section 5.4(a).

  • Notwithstanding anything to the contrary contained in this Agreement, until such time as the NS Member no longer owns any Membership Interests, neither the Management Committee nor any committee thereof shall authorize or effect any action that constitutes a Major Decision unless such action has received the approval of at least one of the Committee Representatives appointed by NS.

  • The Managing Member may cause the Company to make distributions of assets in kind only after Approval by NS Member.

  • To evidence the rights granted to NS Member herein, suitable Uniform Commercial Code statements or other instruments will be executed, acknowledged and delivered by the Company and the affected Members from time to time at the request of NS Member and NS Member may thereafter, to the extent permissible under law, renew such statements or instruments without the consent of any other party.

  • The KCS Membership Interests shall be conveyed to the NS Member (or its designated Subsidiar(ies)) subject only to Permitted Liens (as defined in the Transaction Agreement) and the KCS Member shall be responsible for the payment of all transfer, filing and recording taxes in connection with the exercise of the Line Option with respect to the KCS Membership Interests and the conveyance of such interests.

  • Managing Member means CEF Equipment Holding, L.L.C., a Delaware limited liability company or any successor Managing Member under the Issuer Limited Liability Company Agreement.

  • Participating member means an eligible employee who elects to participate in the defined contribution retirement plan established under this chapter.

  • Tax Matters Member has the meaning set forth in Section 8.4(d).

  • Tribal Member means an enrolled member of the Tribe.

  • Equity Member means each member of the Respondent team that will contribute equity as part of the financing of the Project.
