NTI Property Option Agreement dated June 18, 2003 as between BHP Billiton Diamonds Inc.
NTI hereby waives any and all rights of recovery against BPS and its Affiliates, and against any of their respective directors, governors, members, officers, employees, agents or representatives, for any loss or damage to the NTI Property; NTI shall procure, at its cost, insurance covering such loss or damage.
After three (3) years, SCIREX may dispose of NTI Property in accordance with NTI’s instructions.
All NTI Supplied Components, all Bulk Drug Substance supplied by NTI, and all Drug Product (collectively, “NTI Property”) shall at all times remain the property of NTI and NTI assumes all risk of loss for the NTI Property.
If NTI fails to give said instructions, SCIREX shall so notify NTI; and if said instructions are still not forthcoming within thirty (30) days of said notification, then SCIREX may destroy NTI Property as it determines.
To the best knowledge of NTI, the Sellers and the Principals, underground storage tanks are not and have never been located on the NTI Property.
Unless otherwise required by law or by the terms of this Agreement, all NTI Property that SCIREX has in its possession shall be maintained by SCIREX for a period of not less than three (3) years from the date or receipt thereof.
