NW Capital definition

NW Capital means NWRA Ventures I, LLC. or any assignee thereof under the Agreement.
NW Capital has the meaning set forth in the preamble.

  • Our affiliates include companies with a Northwest or NW name; financial companies such as NW Capital Management LLC, NW Insurance Agency LLC, Northwest Financial Group LLC, Northwest Financial Advisors LLC, Northwest Tax Group LLC and Northwest Title and Escrow LLC.

  • This Agreement shall not be deemed to represent a pledge of any interest in the Loan or any Underlying Asset by NW Capital to Exchange Offering Indenture Trustee or any Exchange Offering Noteholder.

  • Payments to NW Capital, the Rights Offering Indenture Trustee and the Exchange Offering Indenture Trustee shall be made by the Cash Management Agent on each Distribution Date, pursuant to the terms of the Cash Management Agreement for so long as such agreement is in effect.

  • Exchange Offering Indenture Trustee, on behalf of itself and the Exchange Offering Noteholders, agrees that all costs and expenses incurred by NW Capital (including, without limitation, the fees and disbursements of counsel) incident to its enforcement, exercise, protection or preservation of any of its rights, remedies or claims under this Agreement shall be part of the Senior Obligations and the obligations arising hereunder.

  • In the event the purchaser fails to pay for the Subordinate Collateral, NW Capital may resell the Subordinate Collateral and Exchange Offering Indenture Trustee and the Exchange Offering Noteholders shall be credited with the proceeds of the sale.

  • To the extent applicable, the Company and the Trustee, by their execution and delivery of this Indenture, expressly agree to the terms and provisions of the Notes and the Agreement, and to be bound thereby, and such obligations of the Trustee under the Agreement may only be amended, modified, supplemented or cancelled in a writing signed by the Trustee and NW Capital or a Replacement Lender.

  • Any action or proceeding to enforce the rights of NW Capital upon the occurrence of a Trigger Event may be taken by NW Capital either in Exchange Offering Indenture Trustee’s and the Exchange Offering Noteholders’ name or in NW Capital’s name, as NW Capital may deem necessary, in its sole discretion.

  • Equity Capital means capital invested in common or preferred stock, royalty rights, limited partnership interests, limited liability company interests, or any other security or rights that evidence ownership in a private business.

  • Net Capital as used in this rule, shall mean the difference between total assets and total indebtedness, as determined by generally accepted accounting principles, consistently applied, and thereafter adjusted pursuant to paragraph (K)(2) of this rule.

  • Minimum capital or "minimum required capital" means the capital that must be constantly maintained by a stock insurance corporation as required by statute.

  • CET1 Capital means, as of any Balance Sheet Date, the aggregate amount, in the Presentation Currency, of items that constitute common equity tier 1 capital of the Group as of such Balance Sheet Date, less any deductions from common equity tier 1 capital required to be made, in each case as determined by the Group Holding Company pursuant to the BIS Regulations applicable to the Group Holding Company as of such Balance Sheet Date, and as (i) disclosed in the Quarterly Financial Accounts published on the relevant Ordinary Publication Date or (ii) may be disclosed as a component of the Reviewed Interim Measurement published upon the instruction of FINMA on the relevant Extraordinary Publication Date, as applicable. For the avoidance of doubt, the term "common equity tier 1 capital" as used in this definition has the meaning assigned to such term in the BIS Regulations in effect as of the relevant Balance Sheet Date.

  • Unit Capital means the aggregate of the face value of units issued under the scheme and outstanding for the time being.
