"Obligor" means each Person obligated to make payments pursuant to a Receivable, including any guarantor thereof. "Officer's Certificate" means a certificate signed by any Responsible Officer of the Borrower, the Servicer, DFC, Lithia, the Backup Servicer or the Collateral Custodian, as the case may be, and delivered to the Administrative Agent. "Opinion of Counsel" means, with respect to any Person, a written opinion of counsel, who is reasonably acceptable to the Administrative Agent.
