From and after the closing date of such Qualifying IPO, the Holder shall be treated for all purposes as the record holder of the Conversion Shares into which the Series 2 Note Obligation Amount has been converted in accordance with this Section 3.1(a).

Ashland shall update such schedule promptly following any communication with the IRS, written or otherwise, that would materially affect the Ashland Debt Obligation Amount for any assumed Closing Date.

Trustor shall make available to the Collateral Agent each Business Day the Obligation Amount in accordance with Section 2.1, and Collateral shall be entitled to, and shall endeavor to, receive from Securities Intermediary each Business Day the Collateral Data File in accordance with Section 2.2. If the issuance of the Conversion Security would result in the issuance of a fractional share of the Conversion Security, the Issuer shall pay cash in lieu of such fractional share in an amount equal to the portion of the Note Obligation Amount otherwise represented by such fractional share.
