Office Services. The office and infrastructure of U.S. Gold's Lakewood, Colorado offices will be made available to support the Business Activities of GRC including, but not limited to, non-exclusive use of computers, printers, telephones, facsimile, files storage, mail service. Any third party expenses for the direct benefit of GRC shall be paid directly by GRC.

Office Services. So long as SECOND PARTY is in compliance with this Agreement, TBI will provide the following office services during normal operating hours, Monday through Saturday:

• To obtain Smart Office Services, Customers must follow the registration/entitlement process outlined in this Agreement within 30 days of purchase date of Smart Office Service.

• Except for payments made pursuant to the Office Services Agreement and the repayment of the Insider Loan, the Company shall not pay any Initial Stockholder or any of their affiliates any fees or compensation, prior to, or in connection with, the consummation of a Business Combination; provided further that the Initial Stockholders shall be entitled to reimbursement from the Company for their reasonable out-of-pocket expenses incurred in connection with seeking and consummating a Business Combination.

• Distribution Center, Output Control, Print Center, Office Services Incoming, outgoing and internal mail services are provided, including sorting and scanning into the AWD system.

• The Monthly Fixed Fee for Base Services and the Monthly Fixed Fee for Office Services shall be abated on a pro rata basis for the period of time the Offices are unusable.

If you set up through an outside carrier, or carry forward an existing line, your company will receive a separate invoice from the selected carrier. With our DID lines there are no monthly carrier charges. Please refer to our published rates for the charges related to the telecommunication services.

Office Services. Landlord Services:

Office Services means the voice, online meeting, video conferencing, and related services, applications, and product integrations, together referred to as Valley Electric/Valley Communications Office.
