Offshore Overdraft Amount definition

Offshore Overdraft Amount means the Australian Overdraft Amount, the Canadian Overdraft Amount, the Dutch Overdraft Amount and the Swiss Overdraft Amount and “Offshore Overdraft Amounts” means the Australian Overdraft Amount, the Canadian Overdraft Amount, the Dutch Overdraft Amount and the Swiss Overdraft Amount, collectively.
Offshore Overdraft Amount means the UK Overdraft Amount, the Australian Overdraft Amount, the Canadian Overdraft Amount or the Italian Overdraft Amount, and “Offshore Overdraft Amounts” means the UK Overdraft Amount, the Australian Overdraft Amount, the Canadian Overdraft Amount and the Italian Overdraft Amount, collectively.
Offshore Overdraft Amount means the UK Overdraft Amount, the Australian Overdraft Amount or the Italian Overdraft Amount, and "OFFSHORE OVERDRAFT AMOUNTS" means the UK Overdraft Amount, the Australian Overdraft Amount and the Italian Overdraft Amount, collectively. "OFFSHORE SECURITY AGREEMENTS" means the security agreements to be executed by the UK Offshore Borrowers, the Australian Offshore Borrowers, each Wholly-Owned English Subsidiary and each Wholly-Owned Australian Subsidiary on the Closing Date and thereafter pursuant to subsection 5.9, in form satisfactory to Administrative Agent, as they may hereafter be amended, supplemented or modified from time to time.

Offshore Overdraft Amount means the UK Overdraft Amount, the Australian Overdraft Amount or the Italian Overdraft Amount, and "OFFSHORE OVERDRAFT AMOUNTS" means the UK Overdraft Amount, the Australian Overdraft Amount and the Italian Overdraft Amount, collectively.

Related to Offshore Overdraft Amount

  • Offshore facility ’ means any facility of any kind located in, on, or under any of the navigable waters of the United States, and any facility of any kind which is subject to the ju- risdiction of the United States and is located in, on, or under any other waters, other than a vessel or a public vessel;

  • Advance Amount means with respect to Class A Advances, the Class A Advance Amount and, with respect to Class B Advances, the Class B Advance Amount.

  • Facility Amount means (a) prior to the end of the Revolving Period, $250,000,000, unless this amount is permanently reduced pursuant to Section 2.5 or increased pursuant to Section 2.8, in which event it means such lower or higher amount and (b) from and after the end of the Revolving Period, the Advances outstanding.

  • Net advance amount means the gross advance amount less the aggregate amount of the actual and estimated transfer expenses required to be disclosed under section 3(e).

  • New Term Loan Repayment Amount shall have the meaning provided in Section 2.5(c).

  • Uncommitted Amount shall have the meaning assigned thereto in the Pricing Side Letter.

  • Maximum Revolving Amount At any date as of which same is to be determined, the amount by which (x) $3,500,000 exceeds (y) the sum of (i) all then undrawn amounts of letters of credit issued by the Bank for the account of the Borrower plus (ii) all amounts then drawn on any such letter of credit which at said date shall not have been reimbursed to the Bank by the Borrower.

  • Committed Revolving Line means a credit extension of up to Two Million Dollars ($2,000,000).

  • Swing Line Facility means the revolving credit facility made available by the Swing Line Lender pursuant to Section 2.04.

  • Maximum Revolving Advance Amount means $30,000,000.

  • Availability Amount is (a) the lesser of (i) the Revolving Line or (ii) the amount available under the Borrowing Base minus (b) the outstanding principal balance of any Advances.

  • Maximum Facility Amount means the aggregate Commitments as then in effect, which amount shall not exceed $200,000,000; provided that at all times after the Reinvestment Period, the Maximum Facility Amount shall mean the aggregate Advances Outstanding at such time.

  • Swingline Participation Amount as defined in Section 2.7(c).

  • Availability Payment means the payment to Owner described in Section 8.1 for Condition 1 and 8.2 for Condition 2.

  • Prepayment Amount means the amount required to prepay the Annual Special Tax obligation in full for an Assessor’s Parcel as described in Section G.

  • Facility B means the term loan facility made available under this Agreement as described in paragraph (b) of Clause 2.1 (The Facilities).

  • Offshore Base Rate means the rate per annum appearing on Telerate Page 3750 (or any successor page) as the London interbank offered rate for deposits in Dollars at approximately 11:00 a.m. (London time) two Business Days prior to the first day of such Interest Period for a term comparable to such Interest Period. If for any reason such rate is not available, the Offshore Base Rate shall be, for any Interest Period, the rate per annum appearing on Reuters Screen LIBO Page as the London interbank offered rate for deposits in Dollars at approximately 11:00 a.m. (London time) two Business Days prior to the first day of such Interest Period for a term comparable to such Interest Period; provided, however, if more than one rate is specified on Reuters Screen LIBO Page, the applicable rate shall be the arithmetic mean of all such rates. If for any reason none of the foregoing rates is available, the Offshore Base Rate shall be, for any Interest Period, the rate per annum determined by Agent as the rate of interest at which dollar deposits in the approximate amount of the LIBOR Rate Loan comprising part of such Borrowing would be offered by the Bank's London Branch to major banks in the offshore dollar market at their request at or about 11:00 a.m. (London time) two Business Days prior to the first day of such Interest Period for a term comparable to such Interest Period.
