Subject to Subsection 5 (c) the City shall, at the Developer's expense, construct and install the Offsite Works shown on the engineering drawings listed in Appendix “B” of this Agreement.
Where permitted by the Director of Engineering, the Developer may construct and install the Offsite Works shown in the Engineering drawings in Appendix “B”.
The value of the various Offsite Works for the purposes of the preceding paragraph shall be based on the cost estimates of the Developer’s engineers, as approved by the Township Engineer, and adjusted as necessary to be equal to 100% of the contracted price plus the estimated engineering costs and applicable taxes.
The Developer acknowledges that the Township will only grant acceptance, whether preliminary or final, on the basis of four distinct stages of construction and only on the whole of the Offsite Works.
The Securities will secure and guarantee to the Township due performance of the Developer’s obligations relating to the provision of the Offsite Works and all financial obligations of the Developer, present and future, pursuant to this Agreement and the security shall be in an original sum of not less than 100% of the value of the municipal and engineering services required by this Agreement plus applicable taxes.
The Developer agrees that the Township shall have the use of the Offsite Works to be provided pursuant to this Agreement for the purpose for which each such service was designed and further that Township employees, agents and/or contractors may, on no notice, make emergency repairs to such services.
The Developer shall complete the construction and installation of services described in Article 17 within the time periods referenced in Article 9, failing which the Township may demand an increase in the amount of security or draw upon the existing security to complete such Offsite Works.
Such Offsite Works shall only be assumed by the Township upon the Township granting Final Acceptance at the end of the guarantee period with respect to such service; the guarantee shall remain in effect until Final Acceptance has been granted for the applicable Offsite Works.
Pursuant to the terms of this Agreement, the Developer will pay the cost of construction and installation of the growth-related component of the Offsite Works, as identified in Schedule “B” to this Agreement, and receive a credit for payment of development charges for roads related services which credit shall be for an estimated amount of seven hundred and eighty-eight thousand, eight hundred and twenty-six dollars ($788,826) as shown in Schedule “C”.
The Developer has retained, and until Developer has fulfilled all of its obligations pursuant to this Agreement shall maintain the retainer of, a civil engineer registered with Professional Engineers Ontario in order to provide engineering services with respect to the design and installation of the Offsite Works which shall be in accordance with the current standards and specifications of the Township.
