OID Legend definition

OID Legend means the legend set forth in Section 2.06(g)(3) hereof to be placed on all Notes issued under this Indenture that have more than a de minimis amount of original issue discount for U.S. Federal income tax purposes.

OID Legend means the legend set forth in Section 2.06(g)(iv) hereof to be placed on each Note issued hereunder that has more than a de minimis amount of original issue discount for U.S. federal income tax purposes.

OID Legend means the legend set forth in Exhibit I.

Examples of OID Legend in a sentence

• Any Definitive Note issued in exchange for a beneficial interest in a Restricted Global Note pursuant to this Section 2.06(c)(i) shall bear the Private Placement Legend, the OID Legend and the Regulation S Temporary Global Note Legend, as applicable, and shall be subject to all restrictions on transfer contained therein.

• To the extent applicable, the Initial Notes and Additional Notes will bear the OID Legend.

• Any Certificated Note delivered in exchange for an interest in the Transfer Restricted Note shall, except as otherwise provided by Section 2.3(e) hereof, bear the applicable Restricted Notes Legend, the Certificated Notes Legend and, if applicable, the OID Legend.

• Such Authentication Order shall specify (i) the amount of the Notes of such series to be authenticated, (ii) the date on which the Notes of such series are to be authenticated, (iii) whether the Notes are to be Initial Notes, Exchange Notes or Additional Notes and (iv) whether such Notes shall bear the Global Note Legend, the ERISA Legend, the OID Legend, the Regulation S Global Note Legend and/or the Private Placement Legend.

• Institutional Accredited Investor Notes shall be issued initially in the form of one or more permanent Definitive Notes, without interest coupons and bearing the Restricted Notes Legend, the Definitive Notes Legend and the OID Legend, which shall be registered in the name of the beneficial owner or owners of such Note (or the nominee of such beneficial owner or owners) and delivered to the respective beneficial owner or owners (or the nominee of such beneficial owner or owners).

More Definitions of OID Legend

OID Legend means the legend set forth in Section 2.06(g)(1)(A)(i) hereof to be placed on all Notes issued under this Indenture, if applicable.

OID Legend has the meaning set forth in Section 2.14.

OID Legend means the legend set forth in Section 2.06(g)(iii) hereof to be placed on all Notes issued under this Indenture.

OID Legend means the legend set forth in Section 2.06(g)(4) hereof to be placed on all Notes issued under this Indenture.

OID Legend means the legend set forth in Exhibit C of the Second Supplemental Indenture.

OID Legend means the Original Issue Discount legend set forth in Section 2.06(g)(iv), which is required to be placed on the Notes issued under this Indenture, as applicable.

OID Legend means the legend set forth in Section 2.06(g)(iv) hereof, which is required to be placed on all Notes issued under this Indenture with more than a de minimis amount of original issue discount for U.S. federal income tax purposes.
