Old Equity Interests definition

Old Equity Interests means, collectively, any common equity or membership interests in any of the Debtors outstanding prior to the Effective Date, including, without limitation, any stock option or other right to purchase the common stock of any of the Debtors, together with any warrant, conversion right, restricted stock unit, right of first refusal, subscription, commitment, agreement, or other right to acquire or receive any such common stock in any of the Debtors that have been fully exercised prior to the Effective Date.
Old Equity Interests means all Old Common Interests and all Old Preferred Interests.
Old Equity Interests means the Interests in respect of the Old Common Stock issued and outstanding prior to the Effective Date, including treasury stock and all options, warrants, calls, rights, participation rights, puts, awards, commitments, or any other agreements of any character to acquire such common stock, and shall also include any Claim subordinated pursuant to section 510(b) arising from the rescission of a purchase or sale of any such common stock or rights relating to such common stock, or any Claim for damages arising from the purchase or sale of such common stock of Mark IV or any Claim for reimbursement, contribution, or indemnification arising from or relating to any such claims.

  • The amended certificates of incorporation shall provide for, among other things, (a) the cancellation of the Old Equity Interests; (b) the issuance of the New Equity Interests; and (c) a prohibition on the issuance of nonvoting equity securities to the extent, and only to the extent, required by §1123(a)(6).

More Definitions of Old Equity Interests

Old Equity Interests means the equity interests, whether or not evidenced by a security, of each of the Debtors other than SCC and HCS Golf-Course, LLC, issued and outstanding immediately before the Effective Date, together with any option, warrant, or right, contractual or otherwise, to acquire or receive that equity security.
Old Equity Interests means (A) any Equity Interest in a Debtor; (B) any dividend with respect to any of the foregoing, in each case, other than a Subsidiary Equity Interest; and (C) Section 510(b) Claims.
