Onboarding Documentation definition

Onboarding Documentation means the documentation package delivered by the Bank to the Customer which includes the following: the documents to be completed by the Customer to set up the Customer Account, the terms and conditions of the applicable liability waiver program referred to in section 7(e), and the terms and conditions of any features of the Card;
Onboarding Documentation means such documentation provided by MRI to Client as part of Client’s onboarding process to the Payment Services, including any applications, forms, instructions, and any other such documentation provided for review and/or completion by Client as a prerequisite to receiving the Payment Services.
Onboarding Documentation means (1) a completed director questionnaire in the form provided by the Company shall be provided to the Company by a director candidate, (2) any information reasonably requested by the Company that is required to be disclosed by directors or director candidates of the Company in proxy statements or other filings under applicable law or stock exchange regulations or information as may be reasonably requested by the Company that is required of all non-management directors of the Company in connection with assessing eligibility, independence and other criteria applicable to new director candidates or satisfying compliance and legal obligations, and (3) any other reasonable and customary director onboarding documentation applicable to director candidates of the Company, including consent to the Company’s customary background check, in each case in the same forms as is required by the Company in connection with the appointment or election of all non-management Board members. Subject to the rules of any stock exchange on which the Company is traded and applicable law, upon a First Replacement Director’s appointment to the Board, the Board and all applicable committees of the Board shall take all necessary actions to appoint such First Replacement Director to any applicable committee of the Board of which the replaced director was a member immediately prior to such director’s resignation or removal. Subject to the rules of any stock exchange on which the Company is traded and applicable law, until such time as any First Replacement Director is appointed to any applicable committee of the Board, another then-existing director designated by Starboard will serve as an interim member of such applicable committee (subject to such director’s willingness to serve on such committee and provided that such director is qualified to serve on such committee).

  • Prior to the date of this Agreement, the Initial Appointees have submitted to the Company a fully completed copy of the Company’s standard director & officer questionnaire (the “D&O Questionnaire”) and, to the extent reasonably requested by the Company, the other Director Onboarding Documentation (as defined below).

More Definitions of Onboarding Documentation

Onboarding Documentation means any and all documentation which we require you to complete and/or submit (as the case may be) prior to being allowed access to any of the Services;
Onboarding Documentation means (A) a fully completed copy of the Company’s standard director and officer questionnaire and other reasonable and customary director onboarding documentation required by the Company’s policies and procedures applicable to all other non-management directors in connection with the appointment or election of new Board members (including, without limitation, a written consent to a customary background check by a third party), (B) a written acknowledgement in substantially the form entered into by the other directors of the Company that the Replacement Director agrees to be bound by all current policies, codes and guidelines applicable to all other non-management directors of the Company and (C) such other information reasonably requested by the Company including such information as is necessary or appropriate for the Company or its agents to perform a background check in the manner generally performed for non-management directors of the Company, including an executed consent to such background check. Each of the Company and the Stockholder agrees that, prior to being appointed to the Board in accordance with this Agreement, the Replacement Director shall have delivered to the Company the Onboarding Documentation.
Onboarding Documentation means (A) a fully completed copy of the Company’s standard director and officer questionnaire and other reasonable and customary director onboarding documentation required by the Company’s policies and procedures applicable to all other non-management directors in connection with the appointment or election of new Board members (including, without limitation, a written consent to a background check performed by a third party in the same manner as performed for all other non-management directors of the Company), (B) a written acknowledgement in substantially the form entered into by the other directors of the Company that the Investor Director agrees to be bound by all current policies, codes and guidelines applicable to all other non-management directors of the Company and (C) such other information reasonably requested by the Company including such information as is necessary or appropriate for the Company or its agents to perform a background check in the same manner performed for all other non-management directors of the Company, including an executed consent to such background check. Each of the Company and the Investor agrees that, prior to being appointed to the Board in accordance with this Agreement, the Investor Directors shall have delivered to the Company the Onboarding Documentation, and the Investor further agrees to provide prompt written notice to the Company if Investor’s aggregate beneficial ownership of the shares of Common Stock decreases to less than the Minimum Ownership Threshold. Each of the Company and the Investor agrees that each of the New Directors shall (1) be indemnified by the Company in the same manner as all other non-management directors of the Company (including entering into the Company’s customary indemnification agreement) and (2) be insured under the Company’s directors’ and officers’ liability insurance coverage in the same manner as all of the other non-management directors of the Company in accordance with the terms of any such insurance policy.
Onboarding Documentation means any and all documentation which Standard Bank requires the Client to complete and/or submit (as the case may be) prior to being allowed access to any of the Services;

  • Flood Documentation means, with respect to each Mortgaged Property located in the United States of America or any territory thereof, (i) a completed “life-of-loan” Federal Emergency Management Agency standard flood hazard determination (to the extent a Mortgaged Property is located in a Special Flood Hazard Area, together with a notice about Special Flood Hazard Area status and flood disaster assistance duly executed by the Borrower and the applicable Loan Party relating thereto) and (ii) a copy of, or a certificate as to coverage under, and a declaration page relating to, the insurance policies required by Section 5.02(c) hereof and the applicable provisions of the Security Documents, each of which shall (A) be endorsed or otherwise amended to include a “standard” or “New York” lender’s loss payable or mortgagee endorsement (as applicable), (B) name the Collateral Agent, on behalf of the Secured Parties, as additional insured and loss payee/mortgagee, (C) identify the address of each property located in a Special Flood Hazard Area, the applicable flood zone designation and the flood insurance coverage and deductible relating thereto and (D) be otherwise in form and substance reasonably satisfactory to the Collateral Agent.
