  • Perform such other duties as specifically assigned under this Agreement or as may be conferred upon it by mutual agreement of the Operating Committee Members.

  • Each such Party may also designate one or more alternates who may act in the absence of the Party’s Operating Committee Member(s).

  • Except as expressly provided to the contrary in this Agreement, all actions, decisions, capital calls, determinations, waivers, approvals and consents to be taken or given by the Operating Committee must be unanimously approved by the Operating Committee Members (whether or not present at the meeting at which such vote occurs).
