Annual Bonus Percentage has the meaning specified in Section 4(b).

  • In addition to the Annual Base Salary, the Executive shall be awarded, for each fiscal year ending during the Employment Period, an annual bonus (the "Annual Bonus") in cash, determined as a percentage of Annual Base Salary which shall not be less than the Recent Annual Bonus Percentage.

  • The Employee's Target annual bonus, as established by the Committee under the Bonus Plan as of the date of this Agreement, is thirty- five percent (35%) (his "Target Annual Bonus Percentage") of annual base salary, with a range of zero percent (0%) to seventy percent (70%) of annual base salary.

  • Notwithstanding the foregoing, for each fiscal year of the Company which ends in the two-year period following the Change in Control Effective Date, the Executive's award shall be not less than the amount determined by multiplying his Base Salary for such year by the Recent Annual Bonus Percentage.

  • If more than one Base Salary was in effect during the Performance Year, the Annual Bonus Percentage (after it is determined pursuant to the Annual Bonus Plan), will be multiplied by each Base Salary in effect during the Performance Year, on a pro rata basis.

  • A minimum annual bonus ("Annual Bonus") in cash, payable in accordance with past practices of the Company, calculated by multiplying the Base Salary defined in Section 2(b)(i) times the Average Annual Bonus Percentage.

  • The Pro-Rata Bonus shall be calculated by multiplying the Target Annual Bonus Percentage of Annual Base Salary by a fraction, the numerator of which is the number of days in the Company’s fiscal year that have elapsed to the Date of Termination and the denominator of which is the number of days in such fiscal year.

  • The amount of the Target Annual Bonus that will be earned if all performance targets are achieved for each year (the “Target Annual Bonus Percentage”) shall be set forth on Exhibit A, which may not be less than five percent (5%) of EBITDA for the applicable year, and once established for any year such Target Annual Bonus Percentage may not be decreased without the written consent of Employee.

  • For purposes of this Agreement, “Total Annual Compensation” shall mean the aggregate value on an annual basis of (i) the then-current Base Salary, (ii) the annual target bonus opportunity based on the then-current Target Annual Bonus Percentage and then-current Base Salary and (iii) the aggregate target grant date value of equity awards granted to Executive with respect to the applicable year under the Company’s long-term incentive compensation programs for key executives.

  • The Employee's Target annual bonus, as established by the Committee under the Bonus Plan as of the date of this Agreement, will be eighty percent (80%) (his "Target Annual Bonus Percentage") of annual base salary, with a range of zero percent (0%) to one hundred and twenty percent (120%) of annual base salary.

  • Notwithstanding the foregoing, for each fiscal year of the Company which ends in the two-year period following the Change in Control Effective Date, the Executive’s award shall be not less than the amount determined by multiplying his Base Salary for such year by the Recent Annual Bonus Percentage.
