Developer shall, prior to the Operational Transfer Date, provide Connecting Transmission Owner with all documentation reasonably required and requested by Connecting Transmission Owner to comply with any applicable NERC requirements.
Connecting Transmission Owner shall, at the Operational Transfer Date (as described in Appendix B), be responsible for compliance with any applicable requirements of the North American Electric Reliability Corporation (“NERC”) with respect to the Stand Alone System Upgrade Facilities.

Landlord may exercise its right to require an Operational Transfer by delivering written notice to Tenant of Landlord’s election to require an Operational Transfer (a “Transition Notice”) at any time.
In the event of an Early Termination Event as to any Leased Property or dispossession of Tenant with respect to any Leased Property, Landlord may exercise (in its sole discretion) its right to require an Operational Transfer with respect to such Leased Property at any time by delivering a Transition Notice to Tenant.
Landlord may exercise (in its sole discretion) its right to require an Operational Transfer, with respect to any Leased Property with respect to which this Lease will terminate by its terms as of the Expiration Date applicable to such Leased Property, by delivering a Transition Notice on or prior to ten (10) days prior to such Expiration Date.

Despite anything to the contrary in this Agreement, for the period of an Operational Transfer of Firm Park Service MDQ, the Firm Park Service MDQ of User will be taken to be reduced by the quantity of Traded Firm Park MDQ the subject of that Operational Transfer for all purposes under this Agreement except for the calculation of the Firm Park Service Charge.
