No consent or approval by, or any notification of or filing with, any New York state or Federal court, public body or authority is required pursuant to New York state or Federal law to be obtained or effected by any Opinion Party in connection with the execution, delivery and performance by such Opinion Party of each of the Basic Documents to which such Opinion Party is a party, except for such consents, approvals, notifications or filings that have been obtained or made.

Each Opinion Document constitutes a valid and binding agreement of each Opinion Party thereto, enforceable against such Opinion Party in accordance with its terms.

The Credit Agreement is the valid and binding obligation of each Opinion Party enforceable against such Opinion Party in accordance with its terms.
The Indenture constitutes the valid and binding obligation of each Opinion Party, enforceable against such Opinion Party in accordance with its terms under the laws of the State of New York.
