Opinion Party definition

Opinion Party means each of the Issuers, Timberlands, Soucy Inc. and Brant-Allen and "Opinion Parties" means all of those parties, collectively.

More Definitions of Opinion Party

Opinion Party means each of the Parent and WGP. We have reviewed copies of the Credit Agreement, the agreements listed in Exhibit A hereto and originals or duplicates or certified, conformed or photostatic copies of such corporate records, certificates, agreements and other documents of public officials and of the Opinion Parties, and such questions of law, as we have considered necessary or appropriate for the purposes of this opinion. Upon the basis of such examination, it is our opinion that:

  • Certification Party As defined in Section 11.05.

  • Favorable Opinion of Bond Counsel means an opinion or opinions of nationally recognized bond counsel to the effect that the action proposed to be taken is authorized or permitted by the Certificate and will not adversely affect the exclusion of interest on the Bonds from gross income for purposes of federal income taxation.

  • Transaction Party means the Company and each Guarantor, collectively, “Transaction Parties”.

  • Certification Parties As defined in Section 11.09.

  • Opinion means a written, nonbinding, and advisory statement issued by the commission concerning an interpretation of the meaning of the codes or the application of the codes in a specific circumstance issued in response to a specific request by a party to the issue.

  • Opinion of Bond Counsel means a written opinion of Bond Counsel.

  • Opinion of Counsel means a written opinion from legal counsel who is acceptable to the Trustee. The counsel may be an employee of or counsel to the Company or the Trustee.

  • Insolvency Opinion means that certain non-consolidation opinion letter dated the date hereof delivered by Xxxxxx Xxxxxxxx Xxxxx & Xxxxxxxx LLP in connection with the Loan.

  • Foreign Loan Party means any Loan Party other than a U.S. Loan Party.

  • Required Party has the meaning set forth in Section 4.03 of this Agreement.

  • Additional Insolvency Opinion shall have the meaning set forth in Section 4.1.30(c) hereof.

  • Independent provider means a self-employed person who provides services for which he or she must be certified in accordance with rule 5123:2-2-01 of the Administrative Code and does not employ, either directly or through contract, anyone else to provide the services.

  • Transaction Parties As defined in Section 5.3(o).

  • Bond Counsel means an attorney or firm of attorneys of nationally recognized standing on the subject of municipal bonds satisfactory to the Director.

  • Exemption Certificate is defined in clause (e) of Section 4.6.

  • Originator means the sender of the first payment order in a funds transfer.
