Opportunity Partnerships means, Zell/Xxxrxxx Xxxcx Xxxl Estate Opportunity Partners Limited Partnership, Zell/Xxxrxxx Xxxcx Xxxl Estate Opportunity Partners Limited Partnership II, Zell/Xxxrxxx Xxxcx Xxxl Estate Opportunity Partners Limited Partnership III, and Zell/Xxxrxxx Xxxcx Xxxl Estate Opportunity Partners Limited Partnership IV.
Opportunity Partnerships means, Zell/Merrill Lynch Real Estate Opportunity Partners Limited Partnership, Zell/Merrill Lynch Real Estate Opportunity Partners Limited Partnership II, Zell/Merrill Lynch Real Estate Opportunity Partners Limited Partnership III, and Zell/Merrill Lynch Real Estate Opportunity Partners Limited Partnership IV.

Examples of Opportunity Partnerships in a sentence

  • Each of the Opportunity Partnerships owns or will, as of the Closing Date (as defined in Section 2.2 below), own the unencumbered direct or indirect ownership interests in certain limited partnerships, limited liability companies and other entities (collectively, the "Titleholders"), as identified in the attached Exhibits A-1, X-0, X-0 xx A-4 (the "Titleholder Interests").

  • Each Opportunity Partnership makes the following representations and warranties to the Operating Partnership only with respect to: (i) itself, (ii) the Properties identified on such Opportunity Partnership's respective Exhibit A-1, X-0, X-0 xx A-4 hereto, and (iii) the Titleholder Interests to be transferred by such Opportunity Partnership.

  • Without limitation to the foregoing, this opinion letter expressly does not, and should not be construed to, address the tax consequences of the Consolidation for the entities that are currently the managing general partners of the Opportunity Partnerships (the ZML General Partners), Equity Office Holdings, L.L.C., Equity Office Properties, L.L.C., or the owners of interests in any of these entities.

  • This opinion letter does not address the tax consequences to the Opportunity Partnerships or their respective partners of these various disposition transactions.

  • The transfers by the Opportunity Partnerships of their respective assets to the Operating Partnership in exchange for Units will not result in the recognition of taxable gain or loss at the time of the Consolidation to an Investor LP who does not receive cash distributions (or deemed distributions of cash attributable relief from liabilities) in connection with the Consolidation in excess of such Investor LP's basis in its Opportunity Partnership interest at the time of the Consolidation.

  • The Net Promote Proceeds shall not include any return the Company earns on any actual investment by the Company in the Opportunity Partnerships nor any fees received by the Company in respect of acquisition or asset management services.

  • The Operating Partnership and each of the Opportunity Partnerships will be treated as a partnership for federal income tax purposes and will not be subject to tax as a corporation or an association taxable as a corporation.

  • Based upon, subject to, and limited by the assumptions and qualifications set forth herein, we are of the opinion as follows with respect to the Operating Partnership, the Opportunity Partnerships, and the transfers by the Opportunity Partnerships to the Operating Partnership: 1.

Related to Opportunity Partnerships

  • General partnership means an organization formed under chapters 45-13 through 45-21.

  • Operating Partnership has the meaning set forth in the preamble.

  • Hospitality means the considerate care of guests, which may include refreshments, accommodation and entertainment at a restaurant, hotel, club, resort, convention, concert, sporting event or other venue such as Company offices, with or without the personal presence of the host. Provision of travel may also be included, as may other services such as provision of guides, attendants and escorts; use of facilities such as a spa, golf course or ski resort with equipment included;

  • GP means Gottbetter & Partners, LLP.

  • Strategic Partner means a strategic partner described in 22 USC 8601 to 8606.

  • Series Company refers to the form of registered open-end investment company described in Section 18(f)(2) of the 1940 Act or in any successor statutory provision;

  • Opportunity has the meaning set forth in Section 8.1(a).

  • Opportunity Cost means a component of the Market Seller Offer Cap calculated in accordance with Tariff, Attachment DD, section 6. OPSI Advisory Committee:

  • LP means the aggregate quantity of Lost Production during such Month (expressed in MWh) and

  • Operating Company means an “operating company” within the meaning of 29 C.F.R. §2510.3-101(c) of the Plan Asset Regulations.

  • Limited partnership means a limited partnership registered or formed under any law in force in Singapore or elsewhere;

  • HCP means a Habitat Conservation Plan prepared pursuant to § 10(a)(2)(A) of the ESA (16 U.S.C. § 1539(a)(2)(A)).

  • Partnerships is defined in the Recitals of this Agreement.

  • Keystone means Keystone Underwriting Pty Ltd ABN 78 601 944 763 as Corporate Authorised Representative (No. 000468712) of Keystone Underwriting Australia Pty Ltd ABN 59 634 715 674 AFSL 518224 which is acting on behalf of Underwriters.

  • Partnership has the meaning set forth in the Preamble.

  • REIT means a real estate investment trust under Sections 856 through 860 of the Code.

  • Surviving Partnership has the meaning set forth in Section 11.2.B(ii) hereof.

  • Business Opportunity means any commercial, investment or other business opportunity relating to the Business.

  • DOH means the department of health.

  • General Partners means all such Persons.
