Option Cutoff Date definition

Option Cutoff Date means the date that is three (3) years before the Fixed Expiration Date, except that if Tenant exercises the Renewal Option, then the Option Cutoff Date shall be the date that is three (3) years before the last day of the Renewal Term.
Option Cutoff Date means (x) if Tenant shall have not exercised the Renewal Option (as hereinafter defined), the date that is three (3) years before the Extended Term Expiration Date, provided, however, that Tenant shall nevertheless have the right to exercise the ROFO Option in the three (3) years before the Extended Term Expiration Date if, simultaneous with exercising the ROFO Option, Tenant shall also give the Renewal Notice, and (y) if Tenant shall have exercised the Renewal Option, the date that is three (3) years before the expiration of the Renewal Term (as hereinafter defined).
Option Cutoff Date means the date that is three (3) years before the Fixed Expiration Date, except that if Tenant exercises the Renewal Option, then the Option Cutoff Date shall be the date that is three (3) years before the last day of the Renewal Term. Notwithstanding the foregoing to the contrary, if Tenant’s right to exercise the Renewal Option has not yet lapsed pursuant to the terms hereof, then Landlord shall give the Option Notice to Tenant to the extent otherwise required pursuant to this Article 18 notwithstanding that the Option Cutoff Date has passed, provided that Tenant only have the right to exercise the Option for the Applicable Option Space set forth in such Option Notice if Tenant shall simultaneously exercise the Renewal Option.

More Definitions of Option Cutoff Date

Option Cutoff Date means March 31, 2020 (or following Tenant's exercise of the Renewal Option, March 31, 2021); it being agreed, however, that Tenant shall not be entitled to exercise an Additional Space Option for which the Scheduled Additional Space Commencement Date is after April 1, 2016, unless Tenant has exercised (or simultaneously with such exercise of the Additional Space Option, exercises) the Renewal Option in which event Tenant shall not be entitled to exercise an Additional Space Option for which the Scheduled Additional Space Commencement Date is on or after April 1, 2021.
Option Cutoff Date means the date that is four (4) years before the Additional Extended Term Expiration Date.
Option Cutoff Date means the date that is four (4) years prior to the Expiration Date, except that if Tenant exercises the Extension Option, then the Option Cutoff Date shall be the date that is four (4) years prior to the Extended Term Expiration Date. Section 33.02 (a) Tenant may unconditionally (but subject to Tenant’s right to dispute the amount of the First Offer Fair Market Rent pursuant to Section 33.04) accept the offer set forth in the First Offer Notice by delivering to Landlord an acceptance (“Tenant’s First Notice”) of such offer within twenty (20) days after delivery by Landlord of the First Offer Notice to Tenant. The First Offer Space designated in the First Offer Notice shall be added to and included in the Premises on the date such First Offer Space shall be delivered to Tenant broom-clean, vacant, free of any prior occupant’s personal property, unleased and free of occupants or claims of occupancy (“First Offer Space Inclusion Date”). Time shall be of the essence with respect to the giving of Tenant’s First Notice.
Option Cutoff Date means the date that is three (3) years before the Fixed Expiration Date. Nothing contained in this Section 18.4(D) diminishes the terms of Section 18.4(C) hereof.
