Option Fees definition

Option Fees means the Initial Option Fee and the Additional Option Fee.
Option Fees means the aggregate amount of the non-refundable option fee and the fee in connection with the extension of the option period, if any, to the extent previously paid by Buyer to Seller under the Option Agreement.
Option Fees shall have the meaning set forth in Section 2.02.

  • If, at the expiration of any Option Term Purchaser has not exercised its rights either to extend the Option Term or to purchase the rights, both as hereinabove provided, all rights previously granted to Purchaser in the Work, unless agreed to otherwise, shall revert back to Owner and Owner shall retain all Option Fees paid.

  • If Purchaser elects to exercise its Option to purchase the rights set forth herein, Purchaser shall give Owner written notice of Purchaser’s election, and shall pay to Owner the Purchase Price, reduced by the sum of the Option Fee(s).

  • At any time prior to sending a Notice of Exercise, Grantee shall have the right to terminate this Option Agreement by providing written notice of such termination to the Owner, and thereafter neither Party shall have any further obligation hereunder except ▇▇▇▇▇▇▇'s obligation to pay any unpaid Option Fees or reimbursements which become due prior to such termination and those obligations expressly stated to survive the term of this Option Agreement (the date of such termination, a “Termination Date”).

  • The parties acknowledge and agree that SUBLICENSE INCOME shall include, without limitation, the Initial License Fee and the Option Fees, set forth in Sections 8.1 and 8.2, respectively, of the PFIZER Research, Option and License Agreement.

  • Tuition Fees means a sum specified in the Offer Letter, payable by the Student to cover tuition, access to College facilities, enrolment procedures and orientation meetings, use of Information Technology facilities, exam sitting and a Kaplan award on successful completion of the Programme; and

  • Subscription Fees the Fees payable for access to the Cloud Service as set out in an Order.

  • Origination Fees means the fee payable to the Advisor pursuant to Section 8.02 plus all other fees and commissions, excluding Acquisition Expenses, paid by any Person to any Person in connection with making or investing in any Loan by the Company.

  • Acquisition Fees means the fee payable to the Advisor pursuant to Section 8.01 plus all other fees and commissions, excluding Acquisition Expenses, paid by any Person to any Person in connection with making or investing in any Property or other Permitted Investment or the purchase, development or construction of any Property by the Company. Included in the computation of such fees or commissions shall be any real estate commission, selection fee, Development Fee, Construction Fee, nonrecurring management fee, loan fees or points or any fee of a similar nature, however designated. Excluded shall be Development Fees and Construction Fees paid to Persons not Affiliated with the Advisor in connection with the actual development and construction of a Property.
