The Operator shall conduct all business and operations pursuant to the Work Program, and shall require the approval of the Operations Committee prior to implementing any changes to the Work Program during the Option Period.
The Optionee may not assign any part of its obligations under this Agreement to any third party or Encumber the Property or grant any offtake or royalty rights in respect of the Property during the Option Period, without the prior written consent of the Optionor, which consent may not be unreasonably withheld.
The Operator shall be responsible for the conduct of all exploration and development work on the Property during the Option Period.
During the Option Period, however, without the prior consent of the Optionee, the Optionor shall not remove from the Property any buildings, plant, equipment, machinery, tools, appliances or supplies placed on the Property by the Optionee.
The Optionee and Optionor shall work together in good faith to develop a proposed work program and budget with respect to the Property during the Option Period within 30 days of the execution of this Agreement, which shall include the work required to substantiate the Resource Payment (“Work Program”).
