Option Vesting definition

Option Vesting. This Option is fully vested and exercisable on the Grant Date set forth in the Grant Notice.”
Option Vesting means that any outstanding stock options or compensatory restricted stock grants (which shall not include grants made to the Executive as contemplated by the Recapitalization Agreement) granted to the Executive shall immediately and fully vest to the extent that such options or grants have not yet vested solely due to the failure of the passage of time, and with respect to any such options, the Executive shall have the period set forth in such options, but not less than ninety (90) days in which to exercise such options.

Examples of Option Vesting in a sentence

  • Receipt of the Severance Payments, Medical Continuation and Option Vesting shall be conditioned on the Executive’s continued compliance with his obligations under Section 4 of this Agreement.

  • If the Executive’s employment is terminated due to the Executive’s death or Disability, the Executive (or the Executive’s estate, if applicable) will receive (i) the Accrued Amounts, (ii) a Pro-Rata Bonus and (iii) Option Vesting.

  • Thereafter, on each Annual Vesting Date and until the expiration of the term of this Agreement (unless earlier terminated or canceled as provided in this Agreement), the Option may be exercised for an additional Annual Option Vesting Amount.

  • Notwithstanding Section 2(a) hereof, in the event of the Participant’s termination of Service due to death or Disability, in each case prior to any Option Vesting Date, any then unvested Option Shares that would have vested within the calendar year of the Termination Date shall immediately become vested and exercisable as of the Termination Date.

  • The date of the Option Vesting Notice will be the date the Option vests in the Participant, and no Option will vest until the Option Vesting Notice has been issued.

  • All Vesting-Eligible Performance-Vested Options with respect to a given Liquidity Event that do not vest upon the occurrence of such Liquidity Event because the Performance-Vested Option Vesting Percentage for such Liquidity Event is less than 100% shall be forfeited by the Holder for no consideration on the date of such Liquidity Event and thereafter shall be of no further force or effect.

  • Unless terminated pursuant to Section 7 hereof, the Option may be exercised as to not more than the Annual Option Vesting Amount (as defined on Schedule A) of the aggregate number of Common Shares originally subject thereto commencing on the first Annual Vesting Date (as defined on Schedule A) following the date of grant.

  • Non-Qualified Stock Option Vesting This option is not intended to be an incentive stock option under Section 422 of the Internal Revenue Code and will be interpreted accordingly.

  • The date of the Option Vesting Notice will be the date the Options vest in the Participant, and no Option will vest and become exercisable until the Option Vesting Notice has been issued.

  • Subject to the terms and conditions set forth herein, the Options shall become fully vested on the “vesting date” as indicated on the Award Summary (the “Stock Option Vesting Date”) and shall be exercisable from the Stock Option Vesting Date through the “expiration date” as indicated on the Award Summary (the “Expiration Date”).

Related to Option Vesting

  • Non-Vested Shares means any portion of the Restricted Stock subject to this Agreement that has not become vested pursuant to this Section 2.

  • Initial Vesting Date means the date occurring one (1) year after the Date of Option Grant.

  • Vesting Date has the meaning set forth in Section 3.10(c)(ii).

  • Normal Vesting Date means the date on which an Award Vests under Rule 6.1 (Timing of Vesting: Normal Vesting Date), in the absence of an Early Vesting Date;

  • Vesting Dates means, as determined by the Board or by the Committee, the date as of which the Optionee shall be entitled to exercise the Options or part of the Options, as set forth in section 11 of the ISOP.
