Option Window definition

Option Window shall have the meaning set out in Clause 7 below •
Option Window means the following time periods: for a period of six (6) months commencing on June 14, 2026; a period of six (6) months commencing on June 14, 2031; a period of six (6) months commencing on June 14, 2036; a period of six (6) months commencing on June 14, 2041; a period of six (6) months commencing on June 14, 2046; and a period of six (6) months commencing on June 14, 2051.
Option Window has the meaning set forth in Section 45.

  • CREC shall be entitled to exercise the Call Option by delivering a written notice to the Ghel▇▇ ▇▇▇reholder Representative, executed by CREC, at any time during a Call Option Window Period stating that CREC irrevocably elects to exercise the Call Option.

  • At any time during a Call Option Window Period, if the Put Option has not been exercised by the Ghel▇▇ ▇▇▇reholders, CREC shall have the option (the "Call Option") to purchase all, but not less than all, of the Option Shares from the Ghel▇▇ ▇▇▇reholders at the applicable Purchase Price.

  • In addition, Tenant may close on any other earlier date during the Option Window (that is not subject to lockout under the terms of the applicable Loan) so long as Tenant pays any and all Prepayment Premiums that may be due.

  • Section 45 of the Lease is hereby deleted in its entirety and replaced with the following: Lessee shall have the option during the First Option Window and any other Option Window (defined below) to give Lessor notice (the “Option Notice”) of Lessee’s election to purchase the Property for the greater of (i) its fair market value (which fair market value shall be determined in accordance with Section 19 above) or (ii) Lessor’s Total Investment (the “Option Purchase Price”).

  • Upon its receipt of the Brookfield Acquisition Right Exercise Notice, the GATX Member shall have the right to exercise within the Make-Up Call Option Window a Make-Up Call Option with respect to each outstanding Expired Call Option then outstanding as of the date of the receipt by GATX Member of such Brookfield Acquisition Right Exercise Notice.

  • If the GATX Member does not deliver a Make-Up Call Option Notice within the Make-Up Call Option Window, then the Brookfield Group may elect to require the sale pursuant to the Brookfield Acquisition Right.

  • The Option Window shall be amended as follows: Tenant shall have the right and option to purchase all of Landlord’s interest in and to the Leased Property starting on the following: July 1 following the third (3rd) Lease Year until June 30 of the sixth (6th) Lease Year.

  • If, after the Put Deadline, the Seller has exercised less than three (3) Put Options, then the Buyer shall have the option, in its sole discretion, to purchase from the Seller the Buyer Option Assigned Royalty Payments by delivering an irrevocable written notice of such election to the Seller during the Buyer Option Window (the “Buyer Option Exercise Notice”).


More Definitions of Option Window

Option Window means the period of 60 days after the date which is five years from the date of this Agreement.

Option Window means the period specified in Item 10 being the period during which the Tenant may exercise the option (if any) to renew this lease.
