  • Such Additional Dollar Notes shall rank pari passu with the Original Dollar Notes and with the same terms as to status, redemption and otherwise as such Original Dollar Notes (except for the date of issuance).

  • Properly withdrawn Original Dollar Notes may be retendered by following one of the procedures described under the caption "The Exchange Offer—Procedures for Tendering Original Dollar Notes" in the Prospectus at any time prior to the Expiration Date.

  • If Original Dollar Notes are registered in the name of a person other than the signer of this Letter of Transmittal, the Original Dollar Notes surrendered for exchange must be endorsed by, or be accompanied by a written instrument or instruments of transfer or exchange, in satisfactory form as determined by the Company, in its sole discretion, duly executed by the registered holder with the signature thereon guaranteed by an Eligible Guarantor Institution.

  • If Original Dollar Notes have been tendered pursuant to the procedure for book-entry transfer, any notice of withdrawal must specify the name and number of the account at the book-entry transfer facility to be credited with the withdrawn Original Notes or otherwise comply with the book-entry transfer facility's procedures.

  • Any Original Dollar Notes so withdrawn will be deemed not to have been validly tendered for exchange for purposes of the Exchange Offer.

  • Original Dollar Amount means the amount of any Obligation denominated in U.S. Dollars and, in relation to any Loan denominated in an Alternative Currency, the U.S. Dollar Equivalent of such Loan on the day it is advanced or continued for an Interest Period.

  • Initial Dollar Principal Amount means $1,000,000,000, or such higher amount as is specified in any Notice of Additional Issuance under Section 2.09 hereof.

  • Outstanding Dollar Principal Amount has the meaning specified in the Indenture.

  • Class P Principal Amount As of the Closing Date, $100.

  • Refunded Notes means that portion of the Series 298 Notes and Series 300 Notes paid from the proceeds of the Bonds and other available funds of the Issuer.
