The Borrower will comply, and will cause each Originator Entity to comply, with all laws, regulations, judgments and other directions or orders imposed by any Governmental Authority to which such Person or any Receivable, any Related Security or Collection may be subject, except where the failure to so comply would not be reasonably likely to have a Material Adverse Effect.

The Seller acknowledges that the Purchasers are entering into the transactions contemplated by this Agreement in reliance upon the Seller's identity as a legal entity that is separate from the Originator (and any Affiliates or Subsidiaries of the Originator (each, an "Originator Entity")).
Except for items specifically required to be delivered hereunder, the Agent shall not have any duty or responsibility to provide any Lender or any Lender Agent with any information concerning the Borrower, the Insurers any Originator Entity or any of its Affiliates that comes into the possession of the Agent or any of its officers, directors, employees, agents, attorneys-in-fact or Affiliates.
