OSI CONTRACTS definition
OSI CONTRACTS means all contracts, agreements, leases, subleases, licenses, supply contracts, purchase orders, sales orders and instruments used or held for use primarily in the operation or conduct of the OSi Business and to which Crompton or an OSi Subsidiary is a party, including (i) for the lease of machinery, equipment, motor vehicles, furniture or office equipment, (ii) for the provision of goods or services to the OSi Business, (iii) for the sale by the OSi Business of goods or the performance by the OSi Business of services, (iv) for the sale and distribution of products of the OSi Business, (v) those set forth on SCHEDULE 2.1(H) or (vi) any such contracts, agreements, instruments and leases referred to in clauses (i) through (v), inclusive, entered into between the date hereof and the Closing Date by Crompton or an OSi Subsidiary in accordance with Section 5.2(a), but the term "OSI CONTRACTS" shall exclude the Excluded OSi Contracts.
