Other Common Shares definition

Other Common Shares means any other Equity Capital of the Issuer of any class which shall be authorized at any time after the date of this Warrant (other than Common Shares) and which shall have the right to participate in the distribution of earnings and assets of the Issuer without limitation as to amount.
Other Common Shares means all outstanding shares of Common Stock and all shares of Common Stock issuable upon the exercise or conversion of any options, warrants, preferred stock, convertible notes or other convertible or exchangeable securities, other than, in each case, Excluded Common Shares.
