Other Distribution definition

Other Distribution has the meaning ascribed thereto in Section 2.2.

Other Distribution means a Dividend Payment made with respect to the ------------------ capital stock of the Company except to the extent that the Company determines, reasonably and in good faith, that such Dividend Payment (1) is made to fund one or more of the items described in the definition of "Specified Payments" in this Section 1.01 or (2) is made out of the then- available amount of Cumulative Adjusted Net Income.

Other Distribution means a distribution (by dividend or otherwise) of the Subject Shares by Datek in respect of its capital stock or securities exerciseable therefor to its stockholders and optionholders that is not a Pro Rata Securityholder Distribution.

Examples of Other Distribution in a sentence

• Before effecting any such sale of a Share Distribution, Rights or Other Distribution, the Depositary will provide notice to the Company of its intended action.

• This Agreement and the transactions contemplated hereby, including the Pre-Distribution Transactions and the Other Distribution Transactions, the Distribution and the declaration of the dividend of SpinCo Common Stock to Jefferies shareholders, shall have been duly approved, authorized and not rescinded by the Board of Directors of Jefferies in accordance with applicable law and its certificate of incorporation and bylaws as amended and as in effect on the date of this Agreement.

• During the Term, Affiliate shall have the right to grant sublicenses hereunder to third-party distributors of cable television programming or services to SMATVs, MDSs, MMDSs, TVROs or Other Distribution Methods, provided, however, that any subscribers receiving the Service pursuant to the rights granted in this Section 2(b) are counted as Service Subscribers for purposes of calculating the Fee (as defined in Section 6(a) hereunder) payable by Affiliate to Network.
