To the extent that amounts are so withheld and paid over to the appropriate taxing authority by Parent, the Surviving Corporation or the Exchange Agent, such withheld amounts shall be treated for all purposes of this Agreement as having been paid to the holder of the Company Common Stock, Company Options or Other Equity Awards in respect of which such deduction and withholding was made by Parent, the Surviving Corporation or the Paying Agent.
Parent, the Surviving Corporation or the Exchange Agent shall be entitled to deduct and withhold from the consideration otherwise payable pursuant to this Agreement to any holder of Company Common Stock, Company Options or Other Equity Awards such amounts as Parent, the Surviving Corporation or the Exchange Agent is or may be reasonably required to deduct and withhold with respect to the making of such payment under applicable Law.
The Option and Other Equity Awards shall continue to be governed by the Company’s 2002 Equity Incentive Plan and the terms of the applicable grant documents.
Except as otherwise specified in this Agreement, the terms and conditions of the Employment Agreement including but not limited to the indemnification obligations contained in Section 3(c) thereof and Exhibit C (Indemnification Agreement) thereto, the Retention Equity Awards, the Retention Agreement, the Other Equity Awards, and any other agreement between the parties are hereby ratified and confirmed.
Nothing in this Agreement shall be deemed to modify, alter or waive any of the terms, conditions, limitations, restrictions or forfeiture provisions of any Other Equity Awards or the applicable award agreements or plans documents with respect thereto.
