Other First Lien Agreement definition

Other First Lien Agreement means any indenture, credit agreement (excluding the Credit Agreement) or other agreement, document or instrument, pursuant to which any Loan Party has or will incur Other First Lien Obligations; provided that, in each case, the Indebtedness thereunder has been designated as Other First Lien Obligations pursuant to and in accordance with Section 6.17.

Other First Lien Agreement means “Other First Lien Agreement” as defined in the Collateral Agreement, excluding any such Other First Lien Agreement relating to any Excluded Other First Lien Obligations.

Examples of Other First Lien Agreement in a sentence

• Each Secured Party not a party to the Note Purchase Agreement or any Other First Lien Agreement that obtains the benefit of this Agreement shall be deemed to have acknowledged and accepted the appointment of the Administrative Agent pursuant to the terms of the Note Purchase Agreement, including, without limitation, under Article 8 of the Note Purchase Agreement and the appointment of the Authorized Representative pursuant to the terms of any Other First Lien Agreement.

• Each party hereto agrees that the Collateral Agent retains the right to bring proceedings against any Pledgor or its properties in the courts of any jurisdiction solely in connection with the exercise of any rights under this Agreement, any other Note Purchase Agreement Document or any Other First Lien Agreement.

More Definitions of Other First Lien Agreement

Other First Lien Agreement means any indenture, notes, credit agreement or other agreement, document (including any document governing reimbursement obligations in respect of letters of credit issued pursuant to any Other First Lien Agreement) or instrument, including the Initial Other First Lien Agreement, pursuant to which any Grantor has or will incur Other First Lien Obligations; provided that, in each case, the Indebtedness thereunder (other than the Initial Other First Lien Obligations) has been designated as Other First Lien Obligations pursuant to and in accordance with Section 5.14. For avoidance of doubt, neither the Initial Credit Agreement nor any Replacement Credit Agreement shall constitute an Other First Lien Agreement.
