Other Guaranties definition

Other Guaranties as used herein shall mean any other guaranty of payment, guaranty of performance, completion guaranty, indemnification agreement or other guaranty or instrument creating any obligation or undertaking of any nature whatsoever (other than this Guaranty) now or hereafter executed and delivered by either or both of the undersigned to the Lender in connection with the Loan.

Other Guaranties has the meaning set forth in Section 12.11.

Examples of Other Guaranties in a sentence

• Each Guarantor hereby waives any requirement of joinder of all or any other Guarantor or all or any of the Other Guarantors in any suit or proceeding to enforce the provisions of this Guaranty or of the Other Guaranties.

• For the avoidance of doubt, none of the Guarantor, Parent, Merger Sub or the Other Guarantors or their respective successors and assigns under the Merger Agreement, the Equity Commitment Letter, this Limited Guaranty or the Other Guaranties shall be Non-Recourse Parties.

Other Guaranties. The term "Other Guaranties" as used in this Guaranty and Indemnification Agreement shall have the meaning given to such term in paragraph 20 of this Guaranty and Indemnification Agreement.

Other Guaranties means all guaranties hereafter issued by the Guarantor with respect to preferred securities (if any) similar to the Preferred Securities issued by other trusts to be established by the Guarantor (if any), in each case similar to the Issuer.

Other Guaranties as used herein shall mean (a) that certain Joint and Several Guaranty And Agreement (Net Cash Flow Shortfall) of even date and execution herewith made by the undersigned to and for the benefit of Chase, (b) that certain Joint And Several Hazardous Material Guaranty And Indemnification Agreement of even date and execution herewith made by the undersigned to and for the benefit of Chase and (c) any other agreement, if any, now or hereafter given by any of the undersigned pursuant to which either or both have recourse obligations to Chase and/or the other Lenders in connection with the Term Loan.
