Other Reason definition

Other Reason means the occurrence, without the Executive’s written consent and without Cause, of any of the following events (provided that the Executive shall have given the Company written notice describing such event within ninety (90) days of its initial existence and the matter shall not have been fully remedied by the Company within thirty (30) days after receipt of such notice (the “Cure Period”) and the Executive terminates employment within sixty (60) days after the end of the Cure Period):

Other Reason means the occurrence, without the Executive’s written consent and without Cause, of any of the following events (provided that the Executive shall have given the Company written notice describing such event within ninety (90) days of its initial existence and the matter shall not have been fully remedied by the Company within thirty (30) days after receipt of such notice (the “Cure Period”) and the Executive terminates employment within sixty (60) days after the end of the Cure Period): (i) any reduction of the Executive’s Base Compensation from and after the date hereof, recognizing that pro-ration of such amounts for the Company’s fiscal year ending September 30, 2023 as contemplated by the Offer Letter shall not constitute or give rise to Other Reason; (ii) failure of the Company, without Executive’s written consent other than due to a termination of the Executive’s employment for Cause or due to his death or Disability, to (A) cause Executive to be appointed as Chief Executive Officer of the Company effective no later than immediately following the conclusion of the Company’s 2024 Annual Meeting of Stockholders, (B) maintain the Executive in the position of the sole Chief Executive Officer of the Company after assuming the position of Chief Executive Officer of the Company; (iii) a material diminution in the substantive responsibilities or the scope of the Executive’s position; (iv) any breach by the Company or its affiliates of its material obligations under this Agreement or the Offer Letter; provided that, if such violation can be cured, the Company has not, within thirty (30) days after written demand by the Executive, cured such violation; (v) any failure by the Company to obtain the assumption of this Agreement by any successor or assign of the Company; or (vi) any requirement that the Executive relocate to a primary work site that would increase the Executive’s one-way commute distance by more than fifty (50) miles from the Executive’s then principal residence; provided that the requirement that the Executive to relocate such that the Executive’s principal residence to the Greater Boston, Massachusetts area such that the Executive’s primary work site is the Company’s location at ▇▇▇ ▇▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇▇, ▇▇▇▇▇▇, ▇▇▇▇▇▇▇▇▇▇▇▇▇ ▇▇▇▇▇ on or before August 31, 2023 shall not constitute Other Reason.
