Our records definition

Our records means the records at our head office and records stored elsewhere on our behalf, with our consent.
Our records and chief executive office are maintained at the address referred to below and have been so on a continuous basis for at least six (6) months. We shall not change such location without the Agent's prior written consent and, prior to making any such change, we agree to execute any additional financing statements or other documents or notices which the Agent may require in its sole and absolute discretion. (a) We shall maintain our shipping forms, invoices and other related documents in a form satisfactory to the Agent and shall maintain our books, records and accounts in accordance with generally accepted accounting principles consistently applied. We agree to furnish the Agent, RNB and NatWest, on a daily basis, with a schedule of accounts and assignments, a schedule of credits and adjustments and debit assignments, and a lockbox collection report, and, on a weekly basis, with a report of agings of accounts and an inventory report (including breakdowns of inventory by location and according to whether such inventory constitutes raw materials, work in process, or finished goods). All such schedules and reports shall be on RNB's standard forms or on forms otherwise satisfactory to the Agent, RNB and NatWest. (b) We shall furnish the Agent, RNB and NatWest with audited financial statements for each fiscal year, within 90 days of the end of such year, certified by independent public accountants selected by us and acceptable to the Agent, RNB and NatWest, in such scope and detail as the Agent, RNB and NatWest may require in such party's sole and absolute discretion. All such statements and information shall fairly present our financial condition as of the dates and the results of our operations for the periods for which the same are furnished. (c) We shall furnish the Agent, RNB and NatWest with copies of each 10-K Report and 10-Q Report filed by us with the Securities and Exchange Commission (the "SEC"), at the same time as such Reports are filed with the SEC. (d) We also agree to furnish the Agent, RNB and NatWest, at any time or from time to time with such other information and reports regarding our business affairs and financial condition, in such scope and detail, and such other financial statements, certified, reviewed or prepared by such accountants or our personnel, as the Agent or such bank may require in its sole and absolute discretion, including, without limitation, balance sheets, statements of profit and loss, financial statements, cash flow and o...

  • Our records (including computer and microfilm stored records, or any other electronic records stored by us) of all matters relating to you and/ or the business member, any card transaction, your card and/ or your card account is conclusive evidence of such matters and is binding against you and/or the business member for all purposes, save for manifest error, subject to our right to rectify any error or omission therein and our right to adduce other evidence.

  • Our records of all Transactions will be deemed to be correct and will be conclusive and binding on you.

  • Any communication, notice, direction or instruction given under this Policy shall be in writing and delivered by hand, post, or facsimile to: In Your case, at Your last known address per Our records in respect of this Policy.

  • If We cancel this Agreement, We will mail the Subscriber a written notice at least five (5) days prior to the effective date of the cancellation to the Subscriber’s last address listed in Our records.

Related to Our records

  • Pupil Records Means both of the following: (1) Any information that directly relates to a pupil that is maintained by LEA and (2) any information acquired directly from the pupil through the use of instructional software or applications assigned to the pupil by a teacher or other local educational LEA employee.

  • Records means any written or recorded information, regardless of physical form or characteristics, which is produced or acquired by the Party in the performance of this agreement. Records produced or acquired in a machine readable electronic format shall be maintained in that format. The records described shall be made available at reasonable times during the period of the Agreement and for three years thereafter or for any period required by law for inspection by any authorized representatives of the State or Federal Government. If any litigation, claim, or audit is started before the expiration of the three-year period, the records shall be retained until all litigation, claims or audit findings involving the records have been resolved.

  • Files and Records means all files and records of Seller relating to the Business, whether in hard copy or magnetic or other format including customer and supplier lists and records; equipment maintenance records; equipment warranty information; plant plans, specifications and drawings; sales and advertising material; computer software; technical and research analyses; engineering, sales, marketing and other studies, data and plans; bid information; quality assurance records; and records relating to those employees of Seller who may become employed by Purchaser following the Closing.

  • Vital records means certificates or reports of birth, death, fetal death, marriage, dissolution, annulment, and related data.

  • Business Records means all files, documents, instruments, papers, books, reports, records, tapes, microfilms, photographs, letters, ledgers, journals, financial statements, technical documentation (design specifications, functional requirements, operating instructions, logic manuals, flow charts, etc.), user documentation (installation guides, user manuals, training materials, release notes, working papers, etc.), Tax Returns, other Tax work papers and files and other documents in whatever form, physical, electronic or otherwise.
