Outside Settlement Date definition

Outside Settlement Date means, with respect to a Restricted Share Unit or a Discretionary-Settled PSU, December 31st of the third year following the year in which the Date of Grant occurs;
Outside Settlement Date means the date occurring on the earliest of (i) the Business Day 12 months after the Conversion Date (unless the Conversion Date occurs as a result of clause (ii) of the definition ofRevolving Period”), (ii) if the Conversion Date occurs as a result of clause (ii) of the definition of “Revolving Period”, the CLO Takeout Outside Settlement Date and (iii) the day that is 48 months after the Closing Date.
Outside Settlement Date means the date occurring on the Business Day ten months after the Conversion Date.

  • Notwithstanding any other provision of the Plan (including, for greater certainty, Section 3.5), in no event will the RSU Settlement Date (and any subsequent payment with respect thereof) for any Restricted Share Units granted hereunder be made later than the Outside Settlement Date, and any Restricted Share Units that have not settled and been paid by such date will automatically Expire or will accelerate and be settled and paid out by such date, at the sole discretion of the Board.

  • If Seller fails to cure a defect within his control by the Outside Settlement Date or sixty (60) days after receiving notice thereof, whichever is later, then Purchaser may serve notice upon Seller of Purchaser’s termination of the Company Leases as of a date not less than thirty (30) days from the date of such notice.

  • The Measurement shall be binding on Seller and Purchaser, unless prior to the Outside Settlement Date, either Seller or Purchaser delivers written notice to the other party specifying deviations from the BOMA Standard, in which event, the consultant shall be instructed to revise the results of the Measurement to comply with the BOMA Standard and such revision shall be binding on Seller and Purchaser.

  • If by the Outside Settlement Date, Seller is unable to deliver the requisite number of Tenant Estoppels to Purchaser and Purchaser's lender, Seller shall deliver to Purchaser an estoppel certificate dated as of the Outside Settlement Date certifying to the best of Seller's knowledge after due inquiry and investigation the matters set forth in the Tenant Estoppel.

  • If Settlement does not occur within one hundred eighty (180) days after the Effective Date (the "Outside Settlement Date"), then thereafter either Seller or Buyer may elect at any time prior to Settlement, to terminate this Agreement, by notice to the other party, effective ten (10) days after the non-terminating party's receipt of the terminating party's notice, unless the Settlement occurs within such 10-day period.

Outside Settlement Date means, with respect to a Discretionary-Settled RSU or a Discretionary-Settled PSU, December 31 of the third year following the year in which the Date of Grant occurs;

  • Settlement Date means, with respect to the Called Principal of any Note, the date on which such Called Principal is to be prepaid pursuant to Section 8.2 or has become or is declared to be immediately due and payable pursuant to Section 12.1, as the context requires.

  • Standard Settlement Period means the standard settlement period, expressed in a number of Trading Days, on the Company’s primary Trading Market with respect to the Common Stock as in effect on the date of delivery of the Notice of Exercise.
