Outstanding Award definition

Outstanding Award means any other Award under the Plan, any award or option under any other EmployeesShare Scheme operated from time to time by any Group Company (other than any award or options granted under any arrangement which satisfies the provisions of Schedules 2 or 3, or (unless the terms of such arrangement state that shares acquired thereunder are subject to claw-back) 4 or 5 of the Income Tax (Earnings and Pensions) Act 2003), or any bonus award under any bonus scheme operated from time to time by any Group Company, in each case which is either held by the Participant at the time of a determination that a Claw-back shall be applied or which are granted to the Participant following such a determination; and
Outstanding Award means any other Award under this Scheme, any award or option under any other employeesshare scheme operated from time to time by any Group company or any bonus award under any bonus scheme operated from time to time by any Group company, in each case which is either held by the Award Holder or Share Recipient at the time of a determination that a Claw-back shall be applied or which are granted to the Participant following such a determination.
Outstanding Award means an award outstanding immediately prior to the Effective Date under the Macromedia Plans or an award outstanding immediately prior to the Restatement Date under the Omniture Plans.

  • In the event of your Conflicted Employment or death, your Outstanding Award will be treated as described in this Paragraph 6, and all other terms of this Award Agreement continue to apply.
