Outstanding Awards definition

Outstanding Awards has the meaning ascribed to it in Section 8.1.
Outstanding Awards. The Administrative provisions set forth above shall apply to any award of RSUs outstanding as of the date hereof, and such awards are hereby amended.

Examples of Outstanding Awards in a sentence

  • The vested Outstanding Awards shall be exercisable for the period specified in the applicable option agreement.

  • Except as expressly set forth above, this Agreement does not modify any other terms of any of your Outstanding Awards.

  • Such unvested Outstanding Awards will terminate on your Termination Date.

  • Notwithstanding any provision to the contrary in the LTIP/RSU Programs or Company’s annual incentive program in effect for 2010, Employee agrees that payments with respect to Employee’s Outstanding Awards and Employee’s 2010 annual incentive award shall be based on Employee’s annual base salary and position as in effect immediately prior to the Effective Date and without regard to any change in such annual base salary or position that occurs on or after the Effective Date.

  • If your employment with Yahoo! is terminated by Yahoo! without Cause (and other than as a result of your death or disability), each of your Outstanding Awards that is a restricted stock unit award (“RSU”) that vests based solely on the passage of time will vest on your Termination Date with respect to each installment of such award that is scheduled to vest within six (6) months after your Termination Date and will be paid as provided in the award agreement.

  • If recapitalization of Employer is required for any reason, adjustsments will be made to the number and class of shares, pursuant to the Plan.

  • Your Outstanding Awards that are equity-based compensation other than Stock Options/Stock Appreciation Rights and are intended to qualify as performance-based compensation under Section 162(m)(4)(C) of the Code shall remain outstanding and shall vest or be forfeited as specified by the applicable award agreements, if the applicable performance goals are satisfied.
