Outstanding Remuneration means the amount owing to an employee of the Company or an affiliate of the Company for outstanding salary and expense reports, or the amount owing to an independent contractor for services rendered plus any disbursements incurred by said contractor on behalf of the Company, as set forth on Exhibit A attached hereto and incorporated herein by reference.

Examples of Outstanding Remuneration in a sentence

  • At any time after an Event of Default has occurred and has not been cured or waived within the applicable grace period, Novinskie may, in addition to any right or remedy he may have at law or in equity, declare the unpaid portion of the Outstanding Remuneration then due and owing, plus any other amount due and owing under Article 2 above to be immediately due and payable, without presentment, demand, protest or other notices of any kind.

  • The Optionee hereby agrees that all compensation, other income and other payables owing or accrued or to be paid to the Optionee by the Company or an affiliate, whether or not accrued on the payor's records, and all other amounts payable by the Company or an affiliate to the Optionee, which aggregate amount the Optionee represents is equal to the Outstanding Remuneration, are hereby forgiven and released by Optionee.

  • In consideration of the forgiveness of the amounts owed to the Optionee, including all pay due through July 31, 2002, the Optionee has the right to receive from the Company, subject to any use of proceeds obligations, upon the terms and conditions of this Agreement, an amount equal to the Outstanding Remuneration in cash, Common Shares, and/or Options.

  • The parties hereto acknowledge that the number of Optioned Shares is based on the Outstanding Remuneration at a rate of ten cents ($0.10) per Optioned Share.

Related to Outstanding Remuneration

  • Remuneration means any money or its equivalent given or passed to any person for services rendered by him and includes perquisites as defined under the Income-tax Act, 1961;

  • Remuneration Report means the remuneration report which forms part of the Directors’ Report of the Company for the financial year ended 30 June 2020 and which is set out in the 2020 Annual Report.

  • Grandfathered Amounts means, if applicable, the amounts that were deferred under the Plan and were earned and vested within the meaning of Section 409A of the Code and regulations thereunder as of December 31, 2004. Grandfathered Amounts shall be subject to the terms designated in the Adoption Agreement.

  • Annual Deferral Amount means that portion of a Participant's Base Annual Salary and Annual Bonus that a Participant elects to have, and is deferred, in accordance with Article 3, for any one Plan Year. In the event of a Participant's Retirement, Disability (if deferrals cease in accordance with Section 8.1), death or a Termination of Employment prior to the end of a Plan Year, such year's Annual Deferral Amount shall be the actual amount withheld prior to such event.

  • Monthly Base Salary means 1/12th of the greater of (i) Executive’s annual base salary (excluding incentive pay, premium pay, commissions, overtime, bonuses and other forms of variable compensation) as in effect on the date of a Change in Control Termination or a Covered Termination, as applicable, or (ii) in the case of a Change in Control Termination, Executive’s annual base salary (excluding incentive pay, premium pay, commissions, overtime, bonuses and other forms of variable compensation) as in effect on the date of a Change in Control.
