Overall Price definition

Overall Price means the total maximum price payable to the Contractor for the Services under this Framework Agreement and all related Service Contracts. The Overall Price is shown in Annex 2 (Contractor’s Tender for Framework Agreement) and at the top of the payment plan in Annex C of each related Service Contract;

  • The value of any variation, addition or omission shall be calculated on the basis of the unit prices contained in the Bill of Quantities or the Breakdown of Overall Price.

  • Subject to the following provisions of this Clause 5.9, a Party’s total aggregate liability to the other Party, in respect of all Loss caused by its own and its Sub- Contractors’ Defaults under or in connection with this Agreement and/or a Service Contract shall be capped at a value of two times the Overall Price.

  • Notwithstanding Clause 5.10.1 (Cap on Liabilities for Defaults) but subject to the following provisions of this Clause 5.10 (Limits of Liability), the Contractor’s total aggregate liability to ECMWF, in respect of the indemnities set out at Clause 5.9.1 and 5.9.2 shall be capped at a value of two (2) times the Overall Price and no amount payable in respect of such indemnities shall count towards the cap on liability for Defaults under Clause 5.10.1 (Cap on Liabilities for Defaults).

Related to Overall Price

  • Call Price If applicable with respect to any Series, as specified in the applicable Supplement.

  • Final Price means, with respect to a Security and an Auto-Call Valuation Date or the Valuation Date, subject to the Adjustment Provisions, the price of such Security as determined by the Calculation Agent as of the Valuation Time on the relevant Exchange on such Auto-Call Valuation Date or the Valuation Date, as the case may be.

  • Valuation Price means in respect of a Valuation Date and any relevant Scheduled Trading Day, the price of the Reference Asset at the Valuation Time on such day, as determined by the Determination Agent.

  • Initial Price or “Initial Offer” means the price per Unit on the first day of the Initial Period determined by the Management Company.

  • Base Purchase Price has the meaning set forth in Section 2.2.
