Billed Party means the recipient Party of a bill rendered from the Billing Party.
Overpayment means payment in excess of the required fee. Overpayment of less than $10 received by the board shall not be refunded.
Indemnified Party’s Group means the Seller Group (with respect to a Seller Indemnified Party) or the Purchaser Group (with respect to a Purchaser Indemnified Party).
Billing Party means the Party rendering a bill.
Tax Indemnified Party shall have the meaning set forth in Section 7.6(d).
Licensee Indemnitees has the meaning set forth in Section 11.2.
BRRD Party means any Underwriter subject to Bail-in Powers.
Third Party Payment means payment through an instrument issued from a bank account other than that of the beneficiary investor. In case of payments from a joint bank account, the first named investor/holder of the mutual fund folio has to be one of the joint holders of the bank account from which payment is made.

Respondent Party has the meaning set forth in Section 7.6(b).
Third Party Items means Third Party Content and Third Party Products.
Liable Party shall have the meaning set forth in Section 2.9(b).
Overpayments as used in this Section include payments (i) made by the System Agency that exceed the maximum allowable rates; (ii) that are not allowed under applicable laws, rules, or regulations; or (iii) that are otherwise inconsistent with this Grant Agreement, including any unapproved expenditures. Xxxxxxx understands and agrees that it shall be liable to the System Agency for any costs disallowed pursuant to financial and compliance audit(s) of funds received under this Grant Agreement. Xxxxxxx further understands and agrees that reimbursement of such disallowed costs shall be paid by Grantee from funds which were not provided or otherwise made available to Grantee under this Grant Agreement.
Disputing Party has the meaning specified in Paragraph 5.
Tax Indemnitee as defined in Section 3.01(5).
Aggrieved party means a party entitled to pursue a remedy.
Third Party Payments means the payment made through instruments issued from an account other than that of the beneficiary investor mentioned in the application form. Independent Third Party means any Person who, immediately prior to a contemplated transaction, does not own in excess of 5% of the Company’s Common Units on a fully-diluted basis (a “5% Owner”), who is not controlling, controlled by or under common control with any such 5% Owner and who is not the spouse or descendant (by birth or adoption) of any such 5% Owner or a trust for the benefit of such 5% Owner and/or such other Persons.
Third Party Vendor means any person or entity that provides SaaS, third party software and/or related intellectual property. “Work” means any additional work the Customer requests Singtel to perform in relation to the Service.
Licensor Indemnitees has the meaning set forth in Section 9.1.
Third Party IP Claim has the meaning given to it in clause E8.7 (Intellectual Property Rights).
Tax Indemnifying Party shall have the meaning set forth in Section 7.6(d).
Third Party Costs means all such third party costs (including legal and other professional fees) in respect of each Individual Scheme as a Partner reasonably and properly incurs in the proper performance of its obligations under this Agreement and as agreed by the Partnership Board. Working Day means 8.00am to 6.00pm on any day except Saturday, Sunday, Christmas Day, Good Friday or a day which is a bank holiday (in England) under the Banking & Financial Dealings Act 1971.
Indigent person means a person whose household income does not exceed the minimum household income as predetermined by the council;
Applicable Party means (1) all corporate officers of the Disclosing Party, if the Disclosing Party is a corporation; all partners of the Disclosing Party, if the Disclosing Party is a general partnership; all general partners and limited partners of the Disclosing Party, if the Disclosing Party is a limited partnership; all managers, managing members and members of the Disclosing Party, if the Disclosing Party is a limited liability company; (2) all principal officers of the Disclosing Party; and (3) any person having more than a 7.5 percent ownership interest in the Disclosing Party. "Principal officers" means the president, chief operating officer, executive director, chief financial officer, treasurer or secretary of a legal entity or any person exercising similar authority.
Seller Indemnitee has the meaning set forth in Section 9.2(b).
