Pan American Shareholders means the holders of Pan American Shares;

  • Pan American Share Issuance Resolution means the ordinary resolution of Pan American Shareholders approving the issuance of Pan American Shares, CVRs and the Replacement Options under the terms of the Arrangement by an affirmative vote of at least the majority of the votes cast by Pan American Shareholders present in person or represented by proxy and entitled to vote at the Pan American Meeting.

  • Independent Shareholders means holders of Voting Shares, other than:

  • Shareholder Group means (i) Shareholder and (ii) any Affiliate or Shareholder Family Entity (as defined in the Shareholder's Agreement) of Shareholder (other than the Company).

  • Majority Shareholder means a holder of more than fifty percent (50%) of the outstanding stock of the Company, or if no person holds more than fifty percent (50%) of the outstanding stock of the Company, the holder of a plurality of the outstanding stock of the Company.
